<br />AMENDMENT OF RIGHT OF WAY
<br />REFERENCE IS HEREBY MADE to that certain Right of Way dated May 29,
<br />1956, recorded June 22, 1956 in Book 1879, Page 42, in the Official Records of San
<br />Joaquin County, California between Joaquin C. Salles, et ux, as grantors, and Union Oil
<br />Company of California, a corporation ("Unocal"), as grantee, as amended by Modification
<br />Agreement dated August 18, 1956, recorded October 11, 1956 in Book 1909, Page 466 in
<br />the Official Records of said County and State, and as further amended by instrument titled
<br />"Description of Route Selected" dated January 10, 1957, recorded March 5, 1957 in Book
<br />1949, Page 518 in the Official Records of said County and State, (collectively, "said grant
<br />and amendments"), whereby the grantors granted and conveyed to Unocal the right of
<br />way, from time to time, to lay, maintain, operate, repair, alter, change the size and number
<br />of and remove a pipe line or pipe lines, and appurtenances thereof, for the transportation
<br />of oil, gas, water, and other substances, with the right of ingress and egress to and from
<br />the same, over, through, under and along that certain one (1) rod (i.e., 16-1/2 foot) wide
<br />centerline strip of land situated in said County and State ("said strip"), being more
<br />particularly described in said grant and amendments;
<br />AND, WHEREAS, by instrument dated December 27, 1991, recorded February 4,
<br />1992 as Document No. 92012582 in the Official Records of said County and State,
<br />Unocal assigned all of its right, title and interest in said grant to Unocal California Pipeline
<br />Company, a California corporation ("Unocap");
<br />AND, WHEREAS, Costco Wholesale Corporation, a Washington corporation
<br />("Costco"), as successor in interest to the grantors in said grant and amendments insofar,
<br />and only insofar, as said grant and amendments encumber the lands described in Exhibits
<br />"A" and `B" attached hereto and, by this reference, made a part hereof ("the premises"),
<br />desired that Unocap relocate portions of its existing 16 -inch pipeline and said strip by (a)
<br />installing 16 -inch pipe in another location within and across the premises and (b)
<br />abandoning in place the existing 16 -inch pipeline, all to accommodate Costco's
<br />development of said strip and adjoining lands;
