I <br />Assignment of Lease <br />Assignment of lease by and between FRANK GUINTA JR. and SHARI GUNITA <br />(Assignors) and SATNAM SINGH and JOGINDER S. GILL (Assignees) and FISH AND <br />CATTLE COMPANY, LTD.(Landlord). <br />FOR GOOD AND VALUABLE CONSIDERATION it is agreed by and between the <br />parties that: <br />1. Assignor hereby assigns, transfers and delivers to Assignees all of Assignor's rights in <br />and to a certain lease between Assignor and Landlord for that certain premises known <br />as 574 West Grantline Road, Tracy , San Joaquin County, California, under a <br />commercial lease dated the 11"' day of February, 1993 (The Lease). <br />2. Assignees aver that they have reviewed The Lease and satisfied themselves as to their <br />rights and obligations and agrees to accept The Lease, pay all rents and punctually <br />perform all of Assignor's obligations under The Lease accruing on or after the date of <br />possession to the Assignees as contained herein. <br />3. The parties acknowledge that Assignor shall deliver possession of the leased premises <br />to Assignees on <br />All rents and other charges accrued under <br />The Lease prior to said date shall be fully paid by Assignor, and thereafter by <br />AssiUnees. <br />4. Landlord hereby consents and assents to this assignment of lease, provided that: <br />a. Assent to this assignment shall not discharge Assignor of its obligations under <br />The Lease, and <br />b. In the -vent of breach by Assignees, Landlord shall provide Assignor with <br />written notice of same and Assignor shall have full rights to commence all actions <br />to recover possession of the prem;ses (in the name of landlord if necessary) and <br />retain all rights for the duration of the lease provided it pay all accrued rents and <br />cure other defaults, and <br />PAGE. 1 OF 3 <br />
