subject premises arf.—iocated, whether conveyed .rough a business <br />broker or directly to any entity or person other than Lessor's <br />current spouse or adult children (natural or adopted). Lessor <br />shall offer such interest to Lessee, in writing, at the same price <br />and on the same other terms as contained in the final offer. This <br />"Right of First Refusal" shall extend to any lease in the balance <br />of the structure contiguous to the premises the subject of this <br />lease. Leasee shall have thirty (30) calendar days after receipt <br />of all data and documentation required to evaluate the offer and <br />exercise it right of first refusal by notifying Lessor in writing <br />that it intends to exercise its right of first refusal. If Lessee <br />does not timely exercise its right of first refusal, Lessor may <br />consummate the proposed transfer, but not at a lower price or on <br />more favorable terms that those offered to lessee. Lessor agrees <br />to execute a memorandum of this agreement to be recorded in San <br />Joaquin County and to take all actions to give effect to this right <br />of first refusal. Tenant may assign this right of first refusal to <br />any third party. <br />20. Incorporation of Prior Agreement; Modification: This <br />Lease is the only agreement between the parties pertaining to the <br />lease of the Premises and no other agreements are effective. All <br />amendments to this Lease shall be in writing and signed by all <br />parties. Any other attempted amendment shall be void. <br />Lessor and Lessee have signed this Lease at the place and on the <br />dates specified adjacent to their signatures below. <br />7 <br />
