3.27. Drafting. This Agreement is deemed drafted equally <br />by the parties hereto. <br />3.28. Integration. This Agreement represents the full and <br />complete understanding of the parties hereto. <br />3.29. California Law. This Agreement shall be governed, <br />performed and interpreted under the laws of the State of <br />California. <br />3.30. Enforceability. If any portion of this Agreement is <br />ultimately determined not to be enforceable, that portion will be <br />severed from the Agreement and does not defeat the enforceability <br />of the remaining terms of the Agreement. <br />3.31. Third Party Actions. In the event that Project <br />Proponent is a party to any suit or claim for damages or <br />contribution relating to the Site to which DTSC is not a party, <br />Project Proponent shall notify DTSC in writing within ten (10) <br />days after service of the complaint in the third -party action. <br />Project Proponent shall pay all costs incurred by DTSC relating <br />to such third -party actions, including but not limited to <br />responding to subpoenas. <br />D to J es L.
