("Quik Stop" or the "Corporation") that may impact the current licenses in place with the above referenced jurisdiction. These changes are outlined below and will become effective April 13, 2018. Current Ownership Quik Stop Markets Inc. is a corporation formed on July 8, 1965 under the laws of the State of California. Currently, Dillon Companies, Inc., a Kansas Corporation ("Dillon"), owns 100% of Quik Stop. Dillon is subsidiary of The Kroger Company, incorporated in the State of Ohio. Quik Stop's Federal Employer Identification Number("FEIN")is 94-1610162. Contemplated Transaction Kroger has agreed to sell Quik Stop to EG Group, Ltd. ("EG Group") a privately-held petrol forecourt convenience store retailer based in Blackburn, Lancashire, United Kingdom. Post transaction, EG Group will own Quik Stop through two US subsidiaries - EG Retail (America), LLC which will be wholly owned by EG America LLC, both of which are Limited Liability Companies registered in Delaware. EG Retail(America), LLC will own 100% of Quik Stop as of April 13, 2018. As part of the agreement, EG Group will establish their North American headquarters in Cincinnati, Ohio and continue to operate stores under their established banner names. A diagram of the pre-purchase and post-purchase corporate structures of Quik Stop are included in Attachment A. It is our intention that this letter serves as the proper notification for the transaction outlined above that will result in changes to the information on the existing licenses of Quik Stop, Inc. While Quik Stop is undergoing an ownership change as a result of the transaction, the Corporation will retain its FEIN as identified on the current business licenses and related periodic filings. Pursuant to the transaction outlined above, we respectfully request that the current, active licenses and accounts for Quik Stop included in Exhibit B be updated effective April 13, 2018.
