DELIVERY fVV-n/Iy" J Buyer will notify Seller prior to harvest of the schedule for delivery of each variety to Buyer.Buyer may refect any grapes not delivered according to such schedute,or on the day harvested,or that have been trampled during loading.Seller agrees / to deliver at Seller's expense to a winery designated by Buyer.Seller assumes all risk of loss until grapes are delivered and C accepted at Buyer's winery and is solely responsible for meeting the terms and conditions of this contract.All grapes shall be r > weighed by a certified weighmaster at winery where accepted. Y QUALITY Upon delivery,grapes must be sound,fully mature,and of color mnsistenlwith the program for which purchased.Grapes shaozlso be in sanitary condition and free of mildew and Insects.Buyer will notify Seller of any quality standards not listed herein prior to harvest in the year such standards are first to became effective. INSPECTION Measurement of-Brix and defects requiring State Inspection will be made upon delivery by a Stale inspector by a sample method.Buyer will determine all other quality factors and defects,Including but not limited to glycerol,volatile acidity,sun- burn;stress and retaining.The State and Buyer's inspections shall be used to determine load rejection,acceptability for available programs,and price adjustments. Any load of grapes that does not meet the requirements of this contract may be rejected.Upon rejection,if an alternative program is available,Buyer will advise Seller,or Seller's agent,of such program and the price offered.Seller will then have the option to accept Buyer's offer or to deliver the load elsewhere.However,Seller is not relieved of delivering all other con- tracted grapes that domeet the requirements ofthis contract. OTHER Seller warrants that all grapes are Seller's sole property and are not and will not be subjectto any sale or contract to sell or to any other encumbrance except I as Buyer may deduct from amounts due hereunder any deficiency of Seller under other grape purchase contracts.
