<br /> Rio Blanco Ranch. Inc., a California Corporation, Jerry Newton Robinson and Michael Smith
<br /> Robinson ("Licensor"), and Richland Communitit7, Inc.. a Florida Corporation ("Licensee"), with
<br /> reference to that certain Option Agreement dated March 17, 2003, between RIO BLANCO RANCH,
<br /> INC., a California corporation, JERRY NEWTON ROBINSON, and MICHAEL SMITH ROBINSON
<br /> (rcfcrrcd to collectively therein as "Optionor") and RICHLAND COMMUNITIES, INC_, a California
<br /> Corporation, or an assignee, pursuant to the terms of such Option Agreement (referred to therein as
<br /> "Option ), hereby agree as follows:
<br /> 1. Access to Pronertv.
<br /> -1.1. Acccss Richt. Subject to the restrictions act forth in Paragraph 1.2 of this Right of Entry
<br /> Agreement, Licensor hereby consents to entry upon that certain real property referred to herein as Rio
<br /> Blanco, APN 191-280-09 and APN 191-280-10, which is more specifically depicted on the attached
<br /> Exhibit"A" (the "Property"), by Licensee and its employce%, consultants and contractors, after the
<br /> date of this Agreemmt and until any termination of this Agreement in order to conduct, at Licensee's
<br /> sole cost and expense, such inquiries_ inspections, investigations, placement of monitoring wells,
<br /> engineering, surveying, soils, geological, archeological, hydrological, environmental and/or biological
<br /> investigations and assessments, and other tests and studies as Licensee deems appropriate in
<br /> connection with Licensee's use of monitoring wells for Licensee's monitoring and use of monitoring
<br /> well data.
<br /> 1.2. Restrictions. Licensee shall strictly comply with the following in connection with any
<br /> activities by Licensee described in Paragraph 1.1;
<br /> A. Licensee's access onto the Property shall be unlimited, non-exclusive, and shall
<br /> continue during the option period up to the termination of the Option, or sooner purchase of the
<br /> Property by the Optionet/Licensoc under the terms of the option.
<br /> B. Licensee shall give Lica sor at (cast one (1) full business days' (meaning at least
<br /> rwenty-four(24) hours) prior verbal or written notice of any entry by, or on behalf of, Licensee and/or
<br /> Licensees officers. employees, shareholders, agents, contractors, subcontractors, and representatives
<br /> (collectively, "Licc=6 Representatives") onto any of the Property, which notice shall include the
<br /> general time and place of the entry and the placement of the drill sites and monitoring wells, tests or
<br /> investigations or activities which Lietnsec and/or LiccnSec's Representatives desires to perform on the
<br /> Property.
<br /> C. Licensee shrill not cause or permit any unrcasonablc intcrfcrence with Licensor's
<br /> activities on the Property or on any nearby real property,
