PHILLIPS (hereinafter referred to as "Licensor'l and TOSCO CORPORATION, a Nevada corporation ("Licensee") and shall be effective as of the date of the last signature hereto. WHEREAS, the Parties or their predecessors-in-interest previously entered into a License Agreement dated November 7, 2000, granting Licensee access to the property of Licensor for certain environmental assessment and/or corrective action purposes (the"Agreement"); WHEREAS,the Agreement reflects the real property of Licensor as County Assessor's Parcel Number 196430-15 in Lathrop, California; WHEREAS,Licensee needs to amend the Agreement to allow Licensee to install, develop, monitor and sample one additional groundwater monitoring well,which location is marked on Exhibit"A" attached hereto; WHEREAS, the Parties or their predecessors-in-interest previously entered into a License Agreement granting Licensee access to the property of Licensor for certain environmental assessment and/or corrective action purposes (the"Agreement");and WHEREAS, the parties mutually desire to extend the term of the Agreement as set forth below; 1. Licensee now desires to enter the Property to drill one soil boring approximately at the location marked as "Proposed Monitoring Well"on Exhibit"A' attached hereto and made a part hereof. The soil boring will be converted to a groundwater monitoring well, similar to the existing groundwater monitoring well currently located on the Property. Following completion of the well installation,Licensee will need to access the new groundwater monitoring well, and the existing groundwater monitoring well, on a quarterly basis to test the groundwater. 2. The parties hereby agree that the term of the Agreement is extended to December 31, 2005,unless earlier terminated in accordance with the terms of the Agreement. NOW THEREFORE, in consideration of the premises,the parties agree as follows: 1. The above recitals are hereby incorporated by reference. 2. The parties hereby agree that Licensee may install, develop,monitor and sample one additional well on Licensor's property. 3. The parties hereby agree that the term of the Agreement is extended to December 31, 2005. QleA 2 . i
