5. Licensees and their contractors shall obtain any and all permits required by the <br /> City of Stockton,the County of San Joaquin or any other governmental entity <br /> needed to allow Licensees to perform their work at the Subject Properties. <br /> Licensor shall cooperate with and assist Licensees as necessary to obtain such <br /> permits. Copies of all permits shall be sent to Licensor prior to entering the <br /> Subject Properties, <br /> 6. Licensees and their contractors, at no costs to Licensor, shall appropriately <br /> containerize, label,remove, and dispose of any and all barrels and other <br /> containers or other accumulations of,without limitation,drill cuttings, fluids, and <br /> other products of the work. <br /> 7. Licensees agree to indemnify,defend and hold Licensor, and its officers, <br /> directors, employees, agents,insurers,representatives,successors, assigns, and <br /> tenants harmless from liabilities, losses, claims, demands,or orders arising out of <br /> the activities performed by Licensees' consultant, its employees, agents and <br /> contractors on the Subject Properties under this License Agreement. <br /> 8. Prior to entering the Subject Properties or conducting any work on the Subject <br /> Properties, Licensees or their contractors shall provide to Licensor, an insurance <br /> certificate and endorsement demonstrating the following minimum coverages <br /> which shall remain in effect during any and all entries on the Subject Property and <br /> during the term of this License: general liability of not less than$1,000,000 per <br /> occurrence for bodily injury,personal injury and property damage,combined <br /> single limit and$1,000,000 aggregate limit; Workers Compensation coverage <br /> 3 <br />
