Mr. Halvorson has expressed concerns that potential <br /> buyers of the Property are wary of purchasing the Property without the commitment that <br /> BP West Coast Products LLC will continue to address the residual "ARCO Station <br /> Contamination" which may remain beneath the Property. The Access Agreement <br /> ("Agreement"), dated April 5, 2000, between Trustees of the Rodgers Trust (the <br /> 'Grantor") and ARCO Products Company (the "Grantee") should alleviate these <br /> concerns. The Grantor and Grantee are "Parties" to the Agreement. <br /> First, the Agreement remains valid. BP West Coast Products LLC is the successor in <br /> interest to ARCO West Coast Products. Section 2.15 states that the Agreement is <br /> binding to the successors or assigns of both the Rodgers Trust and ARCO Products <br /> Company. If you sell the property, the new property owner would be your successor. <br /> The new owner would then assume the role of Grantor in the Agreement. The <br /> Agreement can not be modified without written agreement by both Parties (section <br /> 2.13). <br /> Secondly, the Agreement states that the Grantee (now BP West Coast Products LLC) <br /> desires to perform future environmental work on the Property in accordance with <br /> applicable environmental laws and regulations (the "Work", recital 1.2). Section 2.1 of <br /> the Agreement allows BP West Coast Products LLC to enter onto the Property for the <br /> purpose of performing the Work. The Agreement is construed only as a temporary <br /> license to enter and conduct the Work on the Property (section 2.9).
