Buyer will establish an escrow with First American Title Company or other title company <br /> acceptable to Buyer. <br /> 7. _Closing Costs; Close'of Escrow: Except as otherwise expressly provided herein, all <br /> costs of the escrow, including document preparation and recording fees, shall be shared equally <br /> k by Buyer and Seller. Documentary transfer taxes, if any, shall be paid by Seller.- Close of <br /> escrow shall occur as soon as possible after approval of the assignment described in section 16, <br /> below. <br /> S. Taxes, Assessments, and Other Charges: Taxes; assessments, penalties; interest <br /> charges, delinquency charges, and municipal service charges of every kind levied upon or <br /> assessed against the Property, except as otherwise expressly set forth herein, shall be paid by <br /> Seller to the date of recording. The remaining principal balance of any bond or assessment <br /> which is a lien against the Property shall be paid in fuII by Seller at close of escrow, without <br /> limitation. <br /> 9. Conveyance: For the purpose of conveying the Pro perty.to Buyer,.Seller shall.execute, <br /> acknowledge, and deliver.a grant:deed to the title company, to be used in.accordance with this <br /> l Agreement. <br /> 10. Risk of Loss: Any and;jall loss or damage to the Property.or.to any existing <br /> Improvements occurring.prior.to the recording of the deed shall be at.the risk of Seller. <br /> M. Buyer's Inspectipn: Buyer acknowledges that Seller,prior to the execution of thin <br /> Agreement, permitted Buyer to fully inspect the Propertyand soils and groundwater and <br /> °irivestigaie all mattefA relevant thereto;:including but riot Iimited to the environmental: onditiony <br /> of the property. Buyer further acknowledges that Seller has fully.cooperated with Buyer:in'all <br /> aspects:relating to Buyer's inspection of property. Buyer,further acknowledges'that it retained <br /> fl <br /> environmental,consultants and said'environmental consultants have had a full opportunity to inspect <br /> and investigate every aspect of the Property including but not limited to the environmental condition <br /> of the property to the satisfaction of Boyer. <br /> Buyer acknowledges that-'Buyer and.its environmental consultant have (1) conducted. <br /> tests of the soil and groundwater ,.(2) reviewed environmental reports relating to the Property, <br /> and (3) reviewed documentation relating to the past uses of the Property. Buyer acknowledges <br /> that it is entering into this Agreement on the basis of Buyer's:own investigatiari of the physical <br /> and environmental conditions of theproperty, including surface and subsurface conditions, and <br /> Buyer assumes the risk that other adverse physical and environmental conditions may not have <br /> been revealed by its own investigation and/or the investigation of others. Except for the express <br /> representations and warranties Seller has stated in this agreement, Buyer has relied on its own <br /> inspection and other information available to-Buyer. <br /> 12. Buyer's Acce tanee ®f Ppo a "As-Is": Buyer acknowledges and agrees that the <br /> Property is to be sold:and conveyed to, and accepted by Buyer; in an "AS IS" condition with all <br /> faults related to the past ownership, uses, and operations which have affected and resulted in the <br /> current environmental condition of the Property.
