<br /> This AGREEMENT is made and entered into on StP 1 1 p0' by
<br /> and between the CITY OF STOCKTON, a municipal corporation, (hereinafter referred to as
<br /> "Donee"),AUTO INVESTMENT CO. ASSOCIATI✓S, a Calif'ornia,Limited Partnership,
<br /> (hereinafter referred to as "Donor"), and Chase Chevrolet Company,Inc., a California
<br /> eotporation, (hereinafter referred to as"Chase,Chevrolet"). 1't is agreed by and between the
<br /> Donee, Donor, and Chase Chevrolet as follows:
<br /> L Property To Be Contributed: Donor agrees to transfer in fee to Donee, and Donee
<br /> agrees to accept from Donor, all rights,title, and interest in the following real property(the
<br /> "Property")situated in the State of California, County of Satz Joaquin, City of Stockton:
<br /> All of lots 2, 4, 5, 6, 7, S, 9, 10, 11, 12, 13, 14, 15, and 16 in Block 23 West of
<br /> Center Street in.the City of Stockton according to the official map or plat thereof
<br /> on file and of record in the office of the County Recorder of Said County of San
<br /> Joaquin,commonly Down.as 423 North Madison Street APN 137-230-04
<br /> including all improvernents,personal property, all easements and other rights appurtenant,
<br /> including without limitation, all mineral rights(collectively, "Irnprovements), as described
<br /> below:
<br /> any structures located on the Property including the former service center building,
<br /> truck shop and arts storage shed
<br /> Won the terms and conditions herein set forth and fxee and clear of.and from all liens,
<br /> encumbrances, conditions,restrictions,judgments,casements,rights of possession, and leasehold
<br /> interests excepting the following:
<br /> a. " Except as otherwise mentioned in this agreement, any liens,encumbrances,
<br /> conditions,restrictions,judgments, easements,right of possession, and leasehold
<br /> interests that are revealed by the title report Donee obtains prior to the execution
<br /> Of this AgrOexnent pursuant to Paragraph 4;
<br /> b. Any environmental contamination in and/or on the Property;
<br /> c. Such other matters affecting title to,possession or use of the Property that are
<br /> approved in writing by Donee.
<br /> Donor may retain possession of the Property until close of escrow and Donee shall be entitled to
<br /> actual possession not later than said date.
<br /> 2. Qualified Charitable Or aniza�tion; Cooperation re Charitable Contribution: Donee
<br /> represents and warrants tit may acquire real property by charitable coati 11 ''1 on pursuant to
<br /> Government Code section 37354 and that it is apolitical subdivision of a state as defined in
<br /> Internal Revenue Code section 170(e)(1). The parties agree that this contribution.is made
<br /> exclusively for public purposes. T]ouee agrees to cooperate'with Donor in complying with the
<br /> Pro-visions of the Internal Revem>e Cade and Regulations relating to the charitable contribution
