AGREEMENT FOR RIGHT OF ENTRY <br /> BETWEEN <br /> BANK OF THE WEST <br /> AND <br /> SHELL OIL PRODUCTS COMPANY <br /> THIS IS AN AGREEMENT ("Agreement" ) between. Bank of the <br /> west, a California banking corporation, with offices at 1450 <br /> Treat Boulevard, City of Walnut Creek, State of California 94596 <br /> (herein called "Grantor" ) , and SHED, OIL COMPANY, a Delaware <br /> Corporation, with offices at 777 walker Street, City of Houston, <br /> State of Texas 77002 (herein called "Shell,,) <br /> There may be present on or under the premises located <br /> at 1265-1267 Country Club Boulevard, Stockton, California (the <br /> "Property,,) , petroleum liquids, solids, and/or vapors which the <br /> parties may have an interest in investigating and/or removing by <br /> undertaking to perform a site assessment including the collection <br /> of groundwater samples from on-site monitoring wells . <br /> The parties agree as foilows: <br /> Subject to the terms and conditions of this AgreemenL , <br /> Grantor hereby grants to Shell, its employees, agents, <br /> contractors, and subcontractors (collectively, "Representatives") <br /> a revocable, temporary license to enter upon the Property for the <br /> Purpose of conducting site assessment and/or remedial, recovery <br /> and other cleanup activities (collectively "Activities" ) or, the <br /> Property. Such Activities may include the installation, <br /> Operation and maintenance of investigative and/or recovery wells <br /> and appurtenances thereto and the right to perform all acts <br /> necessary in connection_ therewith. This Agreement and such <br /> license shall continue in force until (a) said Activities are <br /> completed to the satisfaction of Shell or (b) this Agreement <br /> (including such license) are terminated by Grantor, in its sole <br /> discretion, by written notice to Shell, whichever of (a) or (b) <br /> occurs first . <br /> If this Agreement terminates for any reason, Shell <br /> shall have the right to promptly reenter the Property solely for <br /> the purpose of properly abandoning and decommissioning any <br /> remaining investigative or recovery wells in accordance with <br /> applicable law (including the requirements of the government <br /> authority with jurisdiction) _ Any such activities shall be <br /> performed promptly after termination and shall be subject to the <br /> terms of this Agreement, and this Agreement and all of its terms <br /> shall be deemed revived and in full force and effect until such <br /> activities have been properly completed. Notwithstanding the <br /> foregoing, Grantor shall have the option of properly abandoning <br /> and decommissioning such wells without Shell' s reentry or other <br /> HHRE\34240 <br /> 130595.2 _i <br />
