LEASE THIS LEASE, dated for reference purposes July 1, 2006, (hereinafter the "Effective Date") is made by and between James E. Sanchez ("Landlord")and Valley Organics, Inc. a California Corporation ("Tenant"). Article 1 —Premises Section 1.01. Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, fifty-nine (59)+ acres of real property together with any improvements thereon located at 920 Frewert Road, 1060 Frewert Road and 1120 Frewert Road , Lathrop, CA 95330, designated as ' APN: 191-270-04, 191-270-5 and 191-260-22 as outlined on Exhibit"A" attached hereto (the "Premises"). Article 2—Term Section 2.01. The term of this Lease shall be for three (3) years (the "Term") commencing on July 1, 2006, contingent upon Tenant receiving a use permit authorizing Tenant's proposed use of the Premises for processing, storing and marketing organic plant materials and soil products. Said date is hereafter referred to as the Commencement Date. If Tenant is unable to obtain said use permit, this Lease shall thereupon terminate and be of no further force and effect. Section 2.02. The Lease Term shall renew for an additional one (1) year at the end of the initial three (3) year Term, unless either Landlord or Tenant has given written notice at least ninety (90) days prior thereto of its election to not have the Term automatically renew at the end of the initial Term. Article 3 - Rent I Section 3.01. Commencing upon the Commencement Date, and through the first thirty- six (36) months of this Lease, Tenant agrees to pay to Landlord for use of the Premises, in lawful money of the United States, Thirty-seven Thousand Eight Hundred Dollars ($37,800.00), payable in advance, without notice or demand, in monthly installments of One Thousand Fifty M and No/100 Dollars ($1,050.00) on or before the first day of each calendar month. In the event the Term Commences or ends on a day other than the first day of a calendar month, then the rent for the first and last fractional months of the Term hereof shall be proportionately reduced, based upon the number of days in such calendar month. All payments required to be made under this Article 3, or payments to be made under any other Article of the Lease, shall be made without any set-off or counterclaim whatsoever, and shall be made payable to Landlord.
