Section 10 . Consent of Other Parties. DEVELOPER may, at <br /> its discretion, elect to have other holders of legal, equitable <br /> or beneficial interests in the Project Site, or portions thereof, <br /> acknowledge and consent to the execution and recordation of this <br /> Agreement by executing a document substantially in the form of <br /> the Acknowledgment and Consent to Development Agreement, attached <br /> hereto as Exhibit E. It is understood that the execution of such <br /> document by other holders of legal, equitable, or beneficial <br /> interest in the Project Site is not a condition precedent to this <br /> Agreement. <br /> Section 11 Assignment and Notice. DEVELOPER shall have the <br /> right to assign or transfer all or any portion of its interests, <br /> rights or obligations under this Agreement to third parties <br /> acquiring an interest or estate in the Project Site, including, <br /> but not limited to, purchasers or long term ground lessees of <br /> individual lots, parcels, or of any of the buildings located <br /> within the Project Site. DEVELOPER shall give prior written <br /> notice to the COUNTY of its intention to assign or transfer any <br /> of its interests, rights or obligations under this Agreement. <br /> Any failure by DEVELOPER to provide said notice shall be curable <br /> in accordance with the provisions of Section 6 .A (Default; <br /> Remedies; Termination) hereof . The express assumption of any of <br /> DEVELOPER' S obligations under this Agreement by its assignee or <br /> transferee shall thereby relieve DEVELOPER of any further obliga- <br /> tions under this Agreement. Notwithstanding the foregoing, <br /> DEVELOPER shall have no obligation whatsoever to provide said <br /> notice when it intends to assign an interest in this Agreement in <br /> - 21 - <br /> '�3a-- <br />
