REFR Business Plan
2.3. TARGET MARKET: Our target market is Medical and Adult use Cannabis
consumers in San Joaquin County and the surrounding areas. The company will serve
a broad range of customers who are seeking a safer more discreet alternative to the
black market or traditional storefront dispensaries. Growing Cannabis isn't easy, it
can be extremely time consuming, expensive, and take up a lot of space.
Manufacturing Concentrates can be dangerous, it requires expensive equipment, and
advanced technical skills to do safely. For these reasons most people cannot produce
the quality or quantity of cannabis they wish to consume. There is a significant
demand for Cannabis products, however a shortage of licensed retail locations has
made access in our area very limited and allowed the black market to flourish.
Storefronts are few and far between and many people may not feel comfortable
going into one of these locations creating an unmet demand for in-home delivery.
Online delivery services and ecommerce companies are quickly taking over
traditional brick and mortar retailers in many other retail markets, Couple that with
the approval of statewide cannabis delivery and the market for cannabis delivery is
looking stronger than ever.
2.4. CORPORATE STRUCTURE: THC Logistics LLC dba "REFR" will be a wholly
owned subsidiary of Tetra Holdings Company LLC. Typically Holding companies do
not buy or sell a product, they are legal entities that buy, sell and retain assets
(companies, stock, real property, intellectual property, etc.). Thus, the purpose of a
holding company is not to promote and sell a single product or service but rather to
amass capital through the ownership of subsidiary companies that sell a specific
product or service (in this case, Cannabis). Each Subsidiary is run and managed by its
own Board members. Each Company will maintain its own separate accounts, and
business operations.
3. MARKET ANALYSIS
3.1. INDUSTRY DESCRIPTION AND OUTLOOK: Only 161 of California's 482
municipalities and 24 of the 58 counties have opted to allow commercial cannabis
activity of any sort, according to data from CannaRegs as of Feb. 2019. In addition,
many of those local jurisdictions are selective about the type of cannabis business
they allow. With almost 40 million residents and the longest-running medical
marijuana program in the country, California is easily the largest cannabis market in
the United States and will continue as top dog for the foreseeable future. The Golden
State logged more than $2.2 billion in sales through state-licensed channels in the
3
