Now therefore Owner and Shell agree as follows: 1 . Owner grants to Shell, its contractors, subcontractors, and their employees and agents, a temporary license to enter upon the Property for the purposes necessary for the performance of the Activities described herein, and the right to perform all acts necessary in connection therewith. Such license to enter shall be terminable upon 30 days written notice to Shell. Owner agrees to use reasonable efforts in cooperation with Shell and any applicable governmental agencies. 2. The Owner agrees not to prohibit, interfere with, or obstruct such entry or Activities upon the Property and to use reasonable efforts to encourage its lessees, licensees or agents not to prohibit, interfere with or obstruct such entry or Activities upon the Property. 3. Owner covenants that the temporary license to enter hereby granted to Shell is binding upon both itself and any present or future lessees or occupants of the Property and that Owner will make any grant of rights to such lessees or occupants subject to Shell's license to enter so tong as the temporary license has not been terminated. 4. Shell agrees that such entry upon the Property shall be limited to the extent necessary for the performance of the Activities undertaken by Shell for the purposes expressed herein. Well installation shall not exceed two 8-hour days in duration. Groundwater monitoring and sampling are not to exceed two (2) hours per event. Shell shall notify Owner in writing at least five days prior to the drilling. A minimum of 48 hours notice shall be given prior to entry for groundwater monitoring and sampling. Owner may revoke right-of-entry in the event of any violation of the right- of-entry agreement. 5. Upon completion of each of the Activities upon the Property, Shell will cause any tools, equipment, or materials placed thereon to be removed and restore the Property to its former condition. 6. This Agreement is intended and shall be construed only as a temporary license to enter and conduct the Activities upon the Property and not as a grant of easement or any other interest in the Property. 7. This Agreement is a temporary license and shall be binding upon the parties hereto. The indemnities provided hereunder shall survive the termination of this Agreement. The recitals are incorporated herein and made a substantive part of this Agreement.
