C. To insure the proper execution of his subsequent Work , the CONTRACTOR shall measure Work already in place and shall report at once to the OWNER any discrepancy between the executed. Work and the Drawings. ( D. failure of other contractors to meet their schedules shall not give the CONTRACTOR any right to or any claim for extra compensation. E. Should the CONTRACTOR cause damage to any other contractor on the Work , or I if any dispute or claim arises between the contractors , the CONTRACTOR agrees upon due notice , to settle with such contractor by agreement or arbitration, if he will so settle. If such other contractor sues the OWNER on account of any damage alleged to have been so sustained , the I OWNER .shall notify the CONTRACTOR, who shall defend such proceedings at his own expense and , if any judgment against the OWNER arises therefrom, the CONTRACTOR shall pay or satisfy it and pay all costs incurred by the Owner. ARTICLE 12 - TAXES A. Each CONTRACTOR shall include in his price the cost of all taxes , charges or duties of any nature , exclusive of any taxes based on- net income , applicable to the Work incorporated under the Contract. B. The CONTRACTOR shall accept full and exclusive liability for the payment to the proper governmental agency of any and all contributions , I assessments or taxes for unemployment insurance , disability benefits , old age pensions or annuities or any similar purposes , now or hereafter imposed by any governmental agency , which are measured by wages , salaries or other remuneration paid to all persons employed by the CONTRACTOR. The I OWNER.may protect itself against any liability with respect to any such contributions , assessments or taxes by withholding from any payments to be made to the CONTRACTOR a portion thereof sufficient to cover the amount of Isuch contributi ons , assessments or taxes , and may retain the same until competent evidence of payment thereof by the CONTRACTOR has been submitted to the OWNER. The CONTRACTOR also accepts full and exclusive liability for the payment to the proper governmental agency of any and all taxes which may be imposed Upon or with respect to the Work , or any part thereof . or with respect to any material , labor, or services provided or I caused to be provided by .the CONTRACTOR in connection with the performance of the Work or with respect to any payment made hereunder to the CONTRACTOR . either on account of the accepted bid price or otherwise. C. As appropriate . a certificate of capital improvement shall be furnished by the OWNER to the CONTRACTOR in connection with the Work and the OWNER shall not be charged with any related state or local sale and use taxes. I Such taxes shall be the responsibility of the CONTRACTOR. In the case of machinery , equipment , or materials which do not constitute .a capital Improvement, if any , the OWNER shall furnish an appropriate exemption certificate to the CONTRACTOR. ARTICLE 13 - LIABILITY AND INSURANCE A. To the full extent permitted by law, the COs TRACTORagrees to indemnify , hold harmless and upon request defend the OWNER , employees , from and against any and all liability , 1oss , damages , Issue D GCL-8-
