This Assignment jeement is entered into as of thel4th d, of January , 2004, between Crystal Cream and Butter Co. (hereinafter referred to as "Assignor") , and City of Stockton, a municipal corporation , (hereinafter referred to as "Assignee") . This Assignment Agreement is intended to be in compliance with the terms specified in the Board Order entitled fn the Matter of the Petition ofLake Publishing Company, Order WQ 2000-06-UST. This Assignment Agreement entered into on the above is effective said date. RECITALS WHEREAS: 1 . Assignor is an eligible claimant for reimbursement from the Underground Storage Tank Cleanup Fund established by the Barry Keene Underground Storage Tank Cleanup Trust Fund Act of 1989 (Fund) , for costs related to cleanup activities at the site located at 404 Fremont Street, Stockton, California, 95202, APN 137-230-01 (" the Site") . Assignor's Fund Claim No. is 018649 . 2. Pursuant to Court Order, Assignee took possession of the Site on January 14, 2004 . A true and correct copy of the Order of Possession is attached to this Agreement as Exhibit 1 . Pursuant to a Final Order in Condemnation, Assignor's interest in the Site was transferred to Assignee. A true and correct copy of the Final Order in Condemnation is attached to this Agreement as Exhibit 2. AGREEMENT NOW WHEREFORE, Assignor and Assignee hereby acknowledge that on the effective date of the Assignment Agreement, the Assignee steps into the shoes of the Assignor and agree as follows : 1 . AssigMent: Assignor assigns and transfers to Assignee, Assignor's rights to reimbursement of corrective action and regulatory technical assistance costs and third party compensation claims from the Fund under CIaim No. 018649 (Claim) for the Site including without limitation the following rights to reimbursement: a . The Letter of Commitment ("LOC "); b. Costs incurred by Assignee after January 14, 2004 .
