(iv) "Liabilities" means actions, claims, causes of action, costs, demands, damages, expenses, fines, lawsuits, liabilities, losses, obligations, and penalties, including court costs, defense costs, settlement costs and reasonable attorneys' fees. B. To the maximum extent permitted by Applicable Laws,Licensee will indemnify,defend, and hold harmless Indemnified Parties from and against any and all Liabilities arising out of this Agreement or the Operations, including without limitation, all Liabilities arising out of, resulting from, or caused by Licensee's duties and obligations under this Agreement or any act or omission of Licensee, its respective employees, servants, representatives or agents under this Agreement and all Liabilities arising out of or 1 resulting from: (i) breach by Licensee of this Agreement; (ii) bodily injury (including death) of any person; (iii) loss of use or damage to lite Property or any personal or other property owned by Owner, (iv) violation of Applicable Laws; and (v) any threatened or actual release to, or contamination of or adverse effects on, the environment. However, this indemnity and hold harmless obligation shall not apply to Liabilities to the extent caused by the negligence, gross negligence or willful misconduct of Indemnified Parties. This indemnity is expressly conditioned on the following: (a) In the event Indemnified Panties shall identify any matter to which this indemnity may apply or receive a notice or claim from any third party of such matter, it shall immediately, and in every case within thirty (30) days of said notice or claim, notify Licensee in writing of such matter. (b) Indemnified Parties shall cooperate with Licensee by allowing Licensee, its agents, representatives, contractors and consultants prompt and ready access to the Property for the purpose of investigating any matter to which this indemnity may apply. Inndemnified Parties shall provide Licensee with copies of all investigative reports, data, or other information in any form which Indemnified Parties, its consultants or attorneys may have pertaining to any such matter, upon request of Licensee. C. LICENSEE INTENDS INDEMNITY, DEFENSE, AND HOLD HARMLESS OBLIGATIONS IN THIS SECTION 14 AS WELL AS THE RELEASE SET FORTH IN SECTION S TO SURVIVE THE COMPLETION OF THE OPERATIONS AND THE TERMINATION OF THIS AGREEMENT.
