Site Access Agreement <br /> THIS AGREEMENT("Agreement")is made as of June 11,2009,and entered <br /> into by and between: THE STOCKTON PORT DISTRICT hereinafter referred to <br /> as"Owner", and"CONOCOPHILLIPS COMPANY", hereinafter referred to as <br /> ConocoPhillips; Owner&ConocoPhillips,collectively,shall sometimes <br /> hereinafter be referred to as the"Parties." <br /> RECITALS <br /> A. Owner is the legal and rightful owner of a certain parcel of real <br /> property located at 2201 W. Washington Street, Stockton, California and further <br /> identified by the San Joaquin County Assessor as Parcel No. 162-030-01 (the <br /> "Property"), and in the vicinity of the former Tosco Bulk Terminal No. 10013, <br /> Site#0888, located at 3505 Navy Drive, Stockton, California; <br /> B. ConocoPhillips,in cooperation with the California Regional Water <br /> Quality Control Board—Central Valley Region(CRWQCB-CRV),now desires to <br /> enter the Property to conduct various environmental investigation and/or <br /> remediation activities, including,but not limited to the following activities, <br /> labeled as indicated on Exhibit"A" attached hereto and incorporated herein, <br /> (the Work); <br /> 1. Quarterly monitoring and sampling of existing groundwater <br /> monitoring wells,labeled as"MW-15,MW-16,MW-17B,MW-18C. <br /> MW-20,MW-21B and MW-22C,"or as required by the CRWQCB- <br /> CVR; <br /> 2. Installation of remedial wells"IP-15B,IP-16B and IP17; <br /> 3. Bi-weekly(every other week)oxygen injection/operations and <br /> maintenance activities on wells"IP-15B,IP-16B,IP-17,and MW- <br /> 22C"; <br /> 4. Advancement of additional soil borings and/or installation of <br /> groundwater monitoring wells,and remedial wells upon approval or at <br /> the request of the CRWQCB-CVR; with quarterly access for sampling <br /> of said wells; and <br /> 5. Well destruction activities as needed in accordance with and upon case <br /> closure from CRWQCB-CVR. <br /> In consideration of the covenants and conditions set forth herein,as well as all <br /> other valuable consideration contained herein,the adequacy and sufficiency of which are <br /> 1 <br />
