a temporary license to enter and conduct the Investigations upon the Property and <br /> not a grant of easement or any other interest in the Property. <br /> 2. Environmental Investigation and Remediation. For as long as this Agreement <br /> remains in effect, Shell,at its sole expense,agrees to conduct any necessary <br /> Investigation at the Property,performed by licensed contractors,in accordance <br /> with all applicable federal, state and local statutes,regulations, ordinances and <br /> standards. Shell's obligation to perform Investigation and if necessary remedial <br /> measures shall be limited to that contamination which is attributable to the USTs <br /> on the adjacent property. <br /> 3. Termination. Upon the completion of the Investigations ,Shell shall provide <br /> notice and appropriate documentation to the relevant government agencies having <br /> jurisdiction ("Agency")and to Licensor that Shell has completed its required <br /> Investigations and any required remediation. Upon Shell's receipt of a letter of <br /> "No Further Action"or similar document indicating that Shell's Investigations are <br /> complete the Investigations shall be considered complete and this Agreement <br /> terminated subject to site restoration. In the event that the Agency does not,for a <br /> period of one (1) year following the date of submission of Shell's written notice, <br /> express objections to the notice,then the Investigations shall likewise be <br /> conclusively presumed to be complete. <br /> 4. Mutual Cooperation. Shell agrees to coordinate its activities with Licensor so as <br /> to not unreasonably interfere with business operations and to minimize any <br /> inconvenience or to interruptions of the conduct of Licensor's business or <br /> development of the Property including, but not limited to,providing forty-eight <br /> (48)hours notice prior to all activities on the Property and to perform work prior <br /> to 12:00 P.M. PST. Licensor agrees to cooperate with Shell, and execute <br /> additional documents, such as,permit applications,which may reasonably be <br /> required to effectuate the purpose of this Agreement. Licensor further agrees not <br /> to interfere with the activities conducted by Shell on the Property. <br /> 5. Permits. Shell,with the reasonable cooperation of Licensor,but at no expense to <br /> Licensor, shall obtain any and all permits, which may be required for the <br /> Investigation it conducts pursuant to this Agreement. <br /> 6. Periodic Reports. Shell agrees to provide Licensor and his attorney with periodic <br /> reports, which are submitted,to the Agency outlining the results of Shell's <br /> Investigation performed pursuant to this Agreement. <br /> 7. Site Restoration. Shell agrees, upon completion of the Investigation contemplated <br /> by this Agreement,to restore the surface of the Property to as near the <br /> approximate grade and pavement as existed prior to said Investigation as is <br /> reasonably possible,including proper plugging, abandonment or removal of any <br /> 2 <br />
