� A <br /> REINSTATEMENT OF <br /> co <br /> � flAL <br /> ENVIRONMENTAL INVESTIGATION AGREEMENT AND SECOND AMENDMENT <br /> THIS REINSTATEMENT OF ENVIRONMENTAL INVESTIGATION <br /> AGREEMENT AND SECOND AMENDMENT ("Second Amendment") is entered into by <br /> and between TARGET CORPORATION, a Minnesota corporation ("Target"), PHILLIPS 66 <br /> COMPANY, a Delaware corporation, successor by assignment from ConocoPhillips Company <br /> ("Phillips 66"), and UNION OIL COMPANY OF CALIFORNIA,,,:a California corporation <br /> ("Union Oil") J. <br /> RECITALS: <br /> A. Target and ConocoPhillips Company entered into that certain Environmental <br /> Investigation Agreement dated April 1, 2008 (the"Original Agreement") relating to that certain <br /> real property located at 4707 Pacific Avenue, Stockton, California, and further identified by the <br /> San Joaquin County Assessor as Parcel Number 108-160-04 (the "Property"). The term of the <br /> License as provided under the Original Agreement expired on April 1, 2013. <br /> E. The Original Agreement was subsequently reinstated and amended to extend the <br /> term through January 31, 2016, and to add Union Oil as a Licensee pursuant to that certain <br /> Reinstatement of Environmental Investigation Agreement and First Amendment by and among <br /> Phillips 66 (as successor to ConocoPhillips Company), Union Oil and Target (the <br /> "Amendment"), effective November 25, 2014. The Original Agreement as reinstated and <br /> amended by Amendment shall herein after be referred to as the "Agreement". <br /> C. The parties hereto wish to reinstate the Agreement and, among other things, <br /> extend the term of the Agreement and the license provided thereunder and amend the Work Plan <br /> to include the additional Well Destruction Work Plan Addendum prepared by Stantec <br /> Corporation dated September 12, 2016, and subsequent email approval thereof by San Joaquin <br /> County Environmental Health Department dated January 9, 2017, attached hereto as Exhibit C-5. <br /> D. The parties hereto intend hereby to reinstate the Agreement, subject to and in <br /> accordance with the terms and conditions set forth herein. <br /> NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br /> which are hereby acknowledged, the Agreement is hereby reinstated and amended, subject to and <br /> in accordance with the terms and conditions set forth herein and the parties hereto further agree <br /> as follows: <br /> 1. Recitals. The recitals provided above are true and correct statements of the facts <br /> and events described therein, and such recitals are made a part of this Second Amendment. <br /> 2. Reinstatement and Ratification. The Agreement is hereby revised, reinstated and <br /> ratified in its entirety, subject only to the terms and conditions set forth in this Second <br /> Amendment. <br /> 1 <br />
