The RDA <br /> filed a condemnation lawsuit against L & M Petroleum in San Joaquin County Superior Court in <br /> 1981 in an effort to take the Site by eminent domain. The RDA subsequently agreed to purchase <br /> the Site from L & M Petroleum, which it did in July 1982. Attached as Exhibit A is a copy of <br /> the Agreement for Purchase and Sale of Real Property dated July 19, 1982 between the RDA and <br /> the principals of L &M Petroleum. Paragraph 21 of that Agreement states that the RDA <br /> purchased"all petroleum distribution machinery and equipment[.]" Attached as Exhibit B is a <br /> Grant Deed, which transfers the Site to the RDA. <br /> After purchasing the Site from L & M Petroleum, the RDA immediately leased the site <br /> back to L & M Petroleum. Attached as Exhibit C is a copy of the Lease between the RDA and L <br /> & M Petroleum dated July 19, 1982. Section 4 of the Lease expressly provides that L & M <br /> Petroleum would use the Site "as a petroleum distribution facility." <br /> After the Lease terminated January 31, 1983, the RDA retained a demolition contractor to <br /> remove the existing improvements at the Site, which included above ground storage tanks, some <br /> of which contained residual product. Attached as Exhibit D is a letter from the RDA to L & M <br /> Petroleum, dated November 2, 1982, discussing the RDA's demolition plans.
