15. Section Headings; Recitals. The section headings in this Agreement are only for
<br /> the purpose of reference and shall in no way define or interpret any provision hereof. Catellus
<br /> and Chevron acknowledge and agree that the Recitals set forth above are true and correct and are
<br /> incorporated herein by this reference.
<br /> 16. Nature of Obligations. Chevron acknowledges and agrees that its obligations
<br /> under this Agreement are fully recourse against Chevron and shall not be limited to the amount
<br /> of insurance provided.
<br /> 17. Definitions. As used in this Agreement,the following terms shall be defined as
<br /> follows:
<br /> (a) "Environmental Laws"shall mean any and all present and future federal,
<br /> state and local laws (whether under common law, statute,rule, regulation or otherwise),
<br /> requirements under permits issued with respect thereto, and other requirements of each
<br /> Governmental Authority relating to the environment,to any Hazardous Substances or to any
<br /> activity involving Hazardous Substances.
<br /> (b) "Governmental Authority'shall mean any local, state or federal
<br /> governmental agency, court,board,bureau or other authority having jurisdiction with respect to
<br /> Hazardous Substances at or about the Property and/or the Work.
<br /> (c) "Hazardous Substances" shall mean any chemical, compound, material,
<br /> mixture, living organism or substance that is now or thereafter defined or listed in, or otherwise
<br /> classified pursuant to, any Environmental Laws as a"hazardous substance,""hazardous
<br /> material,""hazardous waste,""extremely hazardous waste,""infections waste,""toxic
<br /> substance,""toxic pollutant"or any other formulation intended to define, list, or classify
<br /> substances by reason of deleterious properties such as ignitability, corrosivity, reactivity,
<br /> carcinogenicity, or toxicity including any petroleum,polychlorinated biphenyls(PCBs),
<br /> asbestos,radon, natural gas,natural gas liquids, liquefied natural gas, or synthetic gas usable for
<br /> fuel(or mixtures of natural gas and such synthetic gas).
<br /> (e) "Reports"shall mean any existing and future written studies,reports,
<br /> analyses, findings, filings, letters,or other summaries or evaluations (including,without
<br /> limitation, all test results and similar data, and any completion or closure report) arising out of
<br /> the Work subject to this Agreement.
<br /> 18. Applicable Law. This Agreement will be deemed to be made under and
<br /> construed in accordance with the laws of the State of California without regard to the law of
<br /> conflicts of laws.
<br /> 19. Notices. All notices,approval, demands, or other communications required or
<br /> permitted hereunder shall be in writing, and shall be personally delivered or sent by a nationally
<br /> recognized overnight courier or sent by registered or certified mail, postage prepared, return
<br /> receipt requested,or delivered or sent by telecopy and shall be deemed received upon the earlier
