Class 3-Intercompany Claims(all Debtors) <br /> a. Claims in Class: Class 3 consists of all Intercompany Claims held by all Debtors. <br /> b. Treatment: On the Effective Date,Intercompany Claims will be cancelled and holders of Intercompany <br /> Claims shall not receive any distribution on account of their Claims. <br /> 4. Class 4- Convenience Claims(all Debtors) <br /> a. Claims in Class: Class 4 consists of all Convenience Claims against all Debtors. <br /> b. Treatment. On the Distribution Date,each holder of an Allowed Convenience Claim will receive Cash <br /> equal to the lesser of(i)the amount of its Allowed Claim,up to$50,000 or(ii) its pro rata portion of <br /> $250,000. <br /> 5. Class 5- General Unsecured Claims(SFC-NH) <br /> a• Claims in Class: Class 5 consists of three subclasses—Subclass 5A,Subclass 5B,and Subclass 5C: <br /> i. Subclass 5A consists of all Senior Note Claims. <br /> ii. Subclass 5B consists of all 131/4%Subordinated Note Claims. <br /> iii. Subclass 5C consists of all General Unsecured Claims against SFC-NH,other than Claims in Subclasses 5A <br /> and 5B and Intercompany Claims. <br /> Notwithstanding the foregoing, for purposes of voting on the Plan,for purposes of distributions to Class 5, and <br /> for all other purposes as regards SFC-NH.Class 5 is a single Class that includes all Claims in Subclass 5A,513 <br /> and 5C. <br /> b. Treatment: On the Distribution Date,to give effect to the Class 5 Subordination Rights and to other <br /> provisions of the Lockup Agreement, the Disbursing Agent will distribute Net Cash Proceeds to holders of <br /> Allowed Class 5 Claims as follows: <br /> i. Each holder of an Allowed Subclass 5C Claim will receive the lesser of(a)its Class 5 Average Recovery <br /> and(b)the amount necessary to pay its Claim in full. <br /> ii. Each holder of an Allowed Subclass 5A Claim will receive its pro rata share of all Net Cash Proceeds <br /> remaining after the holders of Allowed Subclass 5C Claims have received the payments provided for in the <br /> immediately preceding subparagraph (i)until all Allowed Subclass 5A Claims have been paid in full, <br /> together with all accrued and unpaid interest thereon, including (as a result of the subordination agreement <br /> between the holders of Senior Notes and the holders of 131/4%Subordinated Notes)Pos4xddon Interest <br /> through the date of payment. Interest on the Senior Notes shall accrue at the applicable nondefault rates <br /> provided in the respective Senior Note Indentures. <br /> iii.
