EXHIBIT "B" <br /> LEASE AND AGREEMENT TO PURCHASE <br /> REAL PROPERTY <br /> This LEASE AND <br /> r-AGREEMENT TO PURCHASE REAL PROPERTY is <br /> made on this ;;' I0 day of July, 1986, by and between <br /> GORDON B. ROGET and MURIEL F. ROGET, each dealing with <br /> his/her sole and separate property, hereinafter called <br /> "LESSOR, " and JIM DUNCAN, a single man, hereinafter called <br /> "LESSEE. " <br /> W I T N E S E T H: <br /> 1. Lessor agrees to cooperate so as to permit Lessee <br /> to plan for, and pursue, a commercial development of cer- <br /> tain land owned by Lessor, described in Exhibit "A, " <br /> attached hereto, and by this reference, made part hereof . <br /> 2 . Purposes of Lease. One of the purposes of this <br /> Lease is to grant to Lessee the exclusive right for a <br /> period of thirty-six ( 36 ) months to complete all necessary <br /> studies , zoning changes, compliance with the California <br /> Environmental Quality Act, the resolution of title <br /> problems, if any, soil tests and cost estimates, utility <br /> services, and plans for a proposed development. Lessee <br /> agrees to prosecute diligently all such studies, applica- <br /> tions, and permits . <br /> 3 . General and Legal Description. The premises <br /> leased hereunder are specifically described in said <br /> Exhibit "A, " attached hereto, and by this reference, made <br /> part hereof. Presently, there are no buildings or other <br /> improvements on the premises. <br /> (a) The premises consist of a parcel of real pro- <br /> perty located east of Main Street, in Woodbridge, <br /> California, fronting on the Mokelumne River. The said <br /> property consists of approximately 57,600 square feet and <br /> is vested in Muriel F. Roget and Gordon B. Roget, as <br /> tenants in common. <br /> 4 . Term. The term of this Lease is phirty-six ( 36 ) <br /> full calendar months, beginnin_q July � J` , 1986, and <br /> ending at midnight on July .;2O 11 , 1989, unless sooner ter- <br /> minated as provided in this Lease. <br /> The term specified above will be implemented in <br /> successive twelve-month consecutive periods . <br />
