Owner and shall be paid by AGE or the Responsible Party (St. John's Episcopal <br /> Church), and shall be conducted under proper permits secured by AGE at its sole cost <br /> and expense and all Work will be done in accordance with all laws and local regulations. <br /> Copies of all testing and reporting for any investigation or testing performed at Owner's <br /> Property will be forwarded to you the Owner and reliance letters, if requested by Owner, <br /> shall be issued for the benefit of the Owner at no additional cost to Owner. <br /> AGE will not allow any mechanic's liens to be placed on the Property by reason of the <br /> Work any labor, services or materials performed or furnished. If any such lien is filed, <br /> AGE may contest the same in good faith, but, even if the lien is contested, AGE will <br /> have the lien released of record by payment, bond, order of a court of competent <br /> jurisdiction, or otherwise within 15 days following its filing. If AGE fails to release any <br /> such lien within the 15 day period, Owner may remove the lien by payment, bonding or <br /> in any other manner it deems appropriate, without investigating the validity of the lien, <br /> and AGE will reimburse Owner the amount it paid in connection with the discharge of <br /> said lien, together with reasonable expenses incurred, including reasonable attorneys' <br /> fees. <br /> AGE will provide 48 hours notice prior to the initiation of field activities and the Work, <br /> which shall be conducted during Owner's normal business hours and in a manner to <br /> that will not unreasonably interfere or disrupt Owner's business and normal site <br /> activities. AGE and its environmental consultants, agents, representatives and <br /> subcontractors in exercising the rights granted hereunder shall not unreasonably <br /> interfere with the Tenant's access to or use or enjoyment of the Property and AGE and <br /> its contractors will not park or store any construction vehicles, equipment or materials <br /> on the Property when the Work is not actively in progress. <br /> AGE further agrees to: <br /> a) Owner's designated hours of access; <br /> b) make best efforts to avoid or minimize interference with or disrupt any business <br /> activities at the Property and AGE agrees to coordinate its activities with Tenant to <br /> minimize any inconvenience to or interruption of the conduct of Tenant's business on <br /> the Property. AGE and its agents, representatives, and subcontractors shall take <br /> commercially reasonable measures to minimize any interference with Tenant's business <br /> operations of the Property; <br /> c) carry for the benefit of AGE and Owner (i) comprehensive general commercial liability <br /> insurance combined single limit of not less than $2,000,000 each occurrence for <br /> damage, bodily injury, personal damage and death and such insurance shall name <br /> Owner as an additional insured; (ii) auto liability and property damage coverage of not <br /> less than $2,000,000 in the aggregate and such insurance shall name Owner as an <br /> additional insured; (iii) professional liability of not less than $3,000,000 per claim and <br /> $5,000,000 in the aggregate, per annum; (iv) and worker's compensation and <br /> employer's liability insurance with limits of liability not less than those required in <br />
