<br /> INDEMNITY
<br /> Owner has not assumed any liabilities for any injury or damages that may occur during
<br /> these activities and the Work on the Property. AGE and the Responsible Party agree to
<br /> indemnify, defend and hold harmless Indemnitees (defined below) from against any
<br /> claims, suits or demands, including attorney's fees and court costs, arising out of AGE's
<br /> or AGE's employees, representatives, contractors or agents performance of
<br /> investigation and the Work at the Property brought by any third party, person, entity or
<br /> governmental body.
<br /> AGE and the Responsible Party agree to indemnify, defend and hold harmless
<br /> Indemnitees from and against any and all claims, suits or demands, including attorney's
<br /> fees and court costs, arising out of, or in connection with AGE's entry on the Property.
<br /> AGE and the Responsible Party agree to indemnify, defend and hold harmless Owner,
<br /> its parent, and affiliates and their respective mangers, directors, officers, employees and
<br /> agents and the successors and assigns of each of the foregoing (collectively,
<br /> "Indemnitees"), from and against any and all claims, demands, actions, suits, liabilities,
<br /> damages, settlements, losses, costs and expenses, including, but not limited to
<br /> attorneys' fees and expenses, incurred by or asserted against any of the Indemnitees
<br /> arising out of or in any way relating to (i) any breach by AGE of any term or provision of
<br /> this Agreement (including any breach of any representation and/or warranty made by
<br /> AGE in this Agreement); (ii) any act, omission, misrepresentation, conduct, negligence
<br /> or product liability on the part of AGE or any of AGE's directors, officers, employees,
<br /> contractors or agents; and (iii) the Work AGE performs on the Property pursuant to this
<br /> Agreement.
<br /> AGE agrees to indemnify, defend and hold Indemnitees harmless from and against any
<br /> and all claims, costs, expenses (including reasonable attorneys' and consultants' fees),
<br /> demands, fines, causes of action, losses, damages, judgments or liabilities which may
<br /> be made or asserted by any third party (including a governmental agency) on account of
<br /> personal injury, death, or property damage arising out of AGE's, or its agents,
<br /> representatives, employees and contractors performance of the Work and access to the
<br /> Property, except to the extent that any said liabilities, losses, claims, demands or orders
<br /> may be attributed in whole or in part to Owner's gross negligence or intentional act.
