ARTICLE VI CLOSING AND ESCROW 6.1. Deposit with Escrow Holder and Escrow Instructions. Upon execution of this.Agreement,the parties hereto shall deposit an executed counterpart of this Agreement, together with the deposit provided for above, with Escrow Holder and this instrument shall serve as the instructions to Escrow Holder for consummation of the purchase and sale contemplated hereby. Seller and Buyer agree to execute such additional and supplementary escrow instructions as may be appropriate to enable the Escrow Holder to complywith the terms of this Agreement;provided, however,that in the event of any conflict between the provisions of this Agreement and any supplementary escrow instructions,the terms of this Agreement shall control. 6.2. Closing. (a):Escrow shall close(the "Closing")on or before forty five (45)days from the"Effective Date"of this Agreement, which is the date upon which all documents to be recorded under this Agreement shall be recorded in the Office of the Recorder of San Joaquin County, California(the "Closing Date") and possession of the Property shall be delivered to Buyer, free of any claims by anyone else to possession of the Property, subject to the;American Lease and the West Coast Lease. On orbefore the Closing Date, each party shall deposit in escrow all documents and funds required of such party to close escrow in accordance with the requirements of this Agreement. All documents shall be deemed delivered on the date the Deed is recorded. Such dates may not be extended without the written approval of both Seller and Buyer. (b).In the event the escrow does not close on or before the Closing Date,Escrow Holder shall, unless it is notified by either party to the contrary within five(5) business days after the Closing Date, return to the depositor thereof items which may have been deposited hereunder.. 6.3.
