Notwithstanding anything to the contrary contained herein, Buyer and Seller's rights and <br /> obligations under this Section 4.3 shall survive Closing and the delivery of the Deed. <br /> ARTICLE V <br /> BAYER'S CONDITIONS <br /> Buyer's obligation to'purchase the Property under this Agreement is subject to the <br /> fulfillment of each of the following conditions,each of which is for the benefit of Buyer <br /> and any or all of which may be waived in writing at Buyer's option: <br /> 5.1. oval of Tit . Buyer's receipt and approval of the following: <br /> (a).a current preliminary title report with respect to the Property; <br /> (b),a statement of(and, if available,copies of)any other matters <br /> of any nature of which Seller has knowledge and which affect title to any part of the <br /> Property, whether or not of record and whether or not visible or ascertainable by <br /> inspection of the Property,and whether or not otherwise known to Buyer. <br /> On or before thirty(30) days from the date of this Agreement (the <br /> "Feasibility Date"), Buyer and Seller shall agree as to what exceptions to title will remain <br /> of record as of the Closing. If Buyer and Seller are unable to so agree by the Feasibility <br /> Date,Buyer may elect to terminate this Agreement, as authorized in Section 5.3 below. <br /> Notwithstanding anything to the:contrary contained in this Agreement, Seller shall be <br /> obligated, at or prior to Closing,to remove all liens of a definite or ascertainable amount <br /> other than the Permitted Exceptions described in Sections 4.1(a), (b)and (c)above. <br /> 5.2. Feasibility. Buyer shall have until the Feasibility Date to conduct <br /> such feasibility evaluations, physical inspections, investigations and studies of the <br /> Property and analysis of books and records as Buyer deems appropriate, at Buyer's <br /> expense,to determine the suitability of the Property for Buyer's intended ownership and <br /> use in Buyer's sole and absolute discretion. Seller agrees that Buyer and its agents shall <br /> have the right,upon reasonable prior notice to Seller, to enter onto the Property at any <br /> I'I time after the date of <br /> this Agreement and prior to the Feasibility Date, for purposes of <br /> 5153031Ci2 8 <br /> II <br />
