c <br /> 6. RESTORATION <br /> Upon completion of the Work and any Additional Work or the expiration or termination of this <br /> Agreement,ARCADIS shall remove its equipment,materials and supplies. Upon completion of the Work or <br /> Additional Work,ARCADIS will repair damage caused by ARCADIS'negligence and return the Property to its <br /> original condition immediately prior to the commencement of such Work or Additional Work,normal wear <br /> and tear excepted. Property Owner, however, recognizes that certain environmental work is intrusive and <br /> that it may not be possible to return the Property to its original condition despite the exercise of due care. <br /> 7. INDEMNITY <br /> While on the Site,ARCADIS will conduct its activities in a safe and lawful manner.ARCADIS shall <br /> indemnify and hold Property Owner harmless, from and against claims for bodily injury or property <br /> damage to the extent caused by or arising out of ARCADIS' negligence in the performance of the Work or <br /> any Additional Work ARCADIS, however, shall have no liability for pre-existing conditions on the Property <br /> or for Property Owner's contributory or concurrent negligence and assumes no liability as the generator of <br /> any contamination or waste materials discovered as the result of ARCADIS'investigations of the Property <br /> on behalf of its Client. <br /> g, INSURANCE <br /> ARCADIS shall maintain the following insurance for the duration of the Work and any Additional <br /> Work and shall, upon request of Property Owner, provide a certificate of insurance evidencing such <br /> coverage. <br /> Workers Compensation—Statutory <br /> Employer's Liability-$1,000,000 <br /> General Liability-$1,000,000 per occurrencel$2,000,000 aggregate <br /> Auto Liability-$1,000,000 combined single limit. <br /> 9. SUCCESSORS <br /> This Agreement shall be binding upon and inure to the benefit of parties hereto and their respective <br /> heirs, successors and assigns.This agreement may not be assigned in whole or in part without the written <br /> consent of the parties. <br /> 10. TERM AND TERMINATION <br /> This Agreement shall be effective as of Insert Effective Date and shall expire Insert Expiration <br /> Date on unless otherwise extended by the mutual consent of the Parties,provided,however,that Property <br /> LA <br /> wner may terminate this Agreement,with or without cause, upon five (5) days advance written notice to <br /> ARCADIS. <br /> 1. ASSIGNMENTS <br /> Neither party to this Agreement shall assign its duties and obligations hereunder without the prior <br /> ritten consent of the other party. <br /> 2. VALID <br /> The provisions of this Agreement shall be enforced to the fullest extent permitted by law. If any <br /> rovision of this Agreement is found to be invalid or unenforceable,the provision shall be construed and <br /> pplied in a way that comes as close as possible to expressing the intention of the parties with regard to the <br /> rovisions and that saves the validity and enforceability of the provision. <br /> ccesss Agrernteat 2010 2 <br />
