ACCESS AGREEMENT <br /> This Access Agreement("Agreement") is made as of the 7th day of April, 2010, by and <br /> between Best California Gas, Ltd. , a California limited partnership ("Licensor") and <br /> ConocoPhillips Company, a Delaware corporation("Licensee") (collectively, the "Parties")as <br /> follows. <br /> WHEREAS, Licensor owns certain real property and improvements located on the <br /> southwest corner of Pacific Avenue and Rivera Road at 7647 Pacific Avenue, Stockton, CA <br /> 95207 ("Property"); <br /> WHEREAS, Licensee was formerly a tenant on the Property; <br /> WHEREAS, Licensee has agreed to perform environmental corrective action on the <br /> Property as required by the San Joaquin County Environmental Health Department("SJC <br /> DEH")and California Regional Water Quality Control Board - Central Valley Region <br /> ("RWQCB") pursuant to a Settlement Agreement and Release dated April 7, 2010; <br /> WHEREAS, Licensor and 7-Eleven, Inc. ("7-Eleven") have entered into a lease for the <br /> Property; <br /> NOW,THEREFORE, for and in consideration of the foregoing and the mutual promises <br /> and considerations stated herein,the Parties agree as follows: <br /> 1. Grant of License. Licensor hereby grants a non-exclusive license to Licensee and <br /> Licensee's consultants, contractors, subcontractors and agents to enter the Property for <br /> the purpose of drilling borings, installing wells, sampling soil, soil gas and groundwater, <br /> analytical testing of samples, conducting human health studies and risk analysis, <br /> performing surveys,performing remediation and/or conducting other activities with <br /> regard to the presence of petroleum constituents in soil, soil gas and groundwater as <br /> required by the SJC DEH or the RWQCB ("Corrective Action"). <br /> 2. Environmental Investigation and Remediation. For as long as this Agreement remains in <br /> effect, Licensee, at its sole expense, shall diligently perform Corrective Action at the <br /> Property in accordance with all applicable federal, state and local statutes,regulations, <br /> ordinances and standards ("Laws") until such time as a"no further action" letter for soil <br /> and groundwater is issued by the SJC DEH,RWQCB or other responsible government <br /> agency ("Agency"). Upon execution of this Agreement, Licensee shall inform the SJC <br /> DEH that it has assumed responsibility for performing Corrective Action at and about the <br /> Property. <br /> 3. Termination. The non-exclusive license to enter the Property shall terminate upon the <br /> completion of the Corrective Action. <br /> 4. Mutual Cooperation. Licensee agrees to coordinate its Corrective Action with Licensor <br /> to minimize any impairment of access by customers or business invitees of Licensor or <br /> any lessee of the Property, including 7-Eleven, inconvenience to or interruption of the <br /> 1 <br /> Z — yQiU -76e a- u� G01/� <br />
