s � <br /> AGREEMENT <br /> THIS AGREEMENT("Agreement") is made and entered into by and between Chevron <br /> Products Company, a division of Chevron U.S.A. Inc., by and through its agent Chevron <br /> Environmental Management Company ("Chevron"), and RRG-RMT/Tracy LLC ("Party- <br /> in-Interest"). <br /> WHEREAS, Chevron holds a right-of-way(the"Right-of-Way") which crosses real <br /> property located east of Corral Hollow Road and north of 11th Street in the City of Tracy, <br /> County of San Joaquin, State of California(the"Property"), said Right-of-Way being further <br /> described in Exhibit"A"attached hereto and incorporated herein by this reference; and <br /> WHEREAS, Chevron operated a pipeline on the Right-of-Way transporting San Joaquin <br /> Valley crude oil from Kern County to Richmond, California; and <br /> WHEREAS, Party-in-Interest has entered into contract to purchase the Property, opened <br /> an escrow and expects to take full title to the property, and plans to construct a commercial <br /> shopping center project on the Property and within Chevron's Right-of-Way, necessitating the <br /> abandonment of said Right-of-Way and the subsequent removal of any remaining segments of <br /> pipeline to accommodate construction of the planned development; and <br /> WHEREAS, Chevron required prior to relinquishing its rights in the Right-of-Way and <br /> accepting a replacement right-of-way, that a preliminary assessment of soil and groundwater <br /> conditions be performed in the Right-of-Way and the proposed replacement right-of-way; and <br /> WHEREAS, Party-in-Interest, caused to be performed by its contractor Earth Systems <br /> Consultants a preliminary environmental assessment of the Property, including the Right-of-Way <br /> and proposed replacement right-of-way; and <br /> WHEREAS; crude oil impacted soil was identified on the Right-of-Way at depths of six <br /> to fifteen feet below ground surface in two of the six soil borings that were drilled by Earth <br /> Systems Consultants as set forth and defined in its August 1999 reports entitled "Chevron Right- <br /> of-Way-Relocation, Preliminary Assessment Soil Sampling Old Byron Road Between Corral <br /> Hollow and West 11th Street, Tracy, California", and <br /> AgreemcnV5.15.2000/ 1 <br /> I <br /> 10-273/JNR <br /> i <br />
