TERMS AND CONDITIONS FOR EXTENSION OF CREDIT In consideration of Waste Management, Inc. (WMI)extending credit to Buyer, Buyer agrees to the following terms and conditions. TI-se terms and conditions control ovfr any conflicting provisions contained in any contracts,documents, purchase orders, rmations or the like from Buyer. 1. PAYMENT: Buyer shall pay the purchase price and all other charges within the timeframe specified by the invoice. A late payment and/or interest charge of 1.5%per month(or up to stage legal limit),whichever is lower shall be added to all amounts not paid when due. Buyer shall pay all costs incurred by WMI in collecting any amo�Unt due, including all reasonable attorneys'fees and a$25.00 handling charge for any returned check. The undersigned agrees that this agreement is made in the state that waste is received,and the state that waste is received is a proper venue for any action to collect money owed to WMI by Buyer. 2. FORCE MAJEURE:The contract between WMI and Buyer is made expressly subject to force majeure and WMI shall not be responsible for any delay in delivery or shipment,or failure ship or deliver or failure to accept any shipment that may result from strikes,war,fire,Ads of God, accidents,shortage of labor or material, acts of government or administrative unit,or other causes beyond WMI's control. 4. BUYER'S INSOLVENCY: If WMI d ms itself to be insecure as to payment from Buyer,or if Buyer becomes Insolvent,WMI may refuse to ship or deliver,may refuse to accept any shi ment or delivery,and may stop any delivery of all waste or other items in transit. All amounts due WMI shall, at WMI's option, become immedi tely due and payable if Buyer becomes insolvent, is the subject of an order of relief in bankruptcy,makes an assignment for the benefit of credito ,suffers a judgment or tax lien,or defaults in the payment when due of any invoice from WMI. 5. AUTHORIZATION TO OBTAIN C EDIT INFORMATION: Buyer expressly authorized WMI to seek an obtain credit information from all sources, including but not limited to,all redit bureaus,credit reporting agencies and the references herein provided. 6. WARRANTIES AND DISCLAIME :WMI DOES NOT MAKE,AND HEREBY DISCLAIMS,ANY WARRANTY WHETHER EXPRESSED, IMPLIED OR STAT TORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
