<br /> In consideration of Waste Management, Inc. (WMI)extending credit to Buyer, Buyer agrees to the following terms and conditions.
<br /> These terms and conditions control over any conflicting provisions contained in any contracts,documents, purchase orders,
<br /> ,nfirmations or the like from Buyer.
<br /> �. PAYMENT: Buyer shall pay the purchase price and all other charges within the timeframe specified by the invoice. A late payment and/or interest
<br /> charge of 1.5%per month(or up to state legal limit),whichever is lower,shall be added to all amounts not paid when due. Buyer shall pay all costs
<br /> incurred by WMI in collecting any amount due,including all reasonable attorney's fees and a$25.00 handling charge for any returned check. The
<br /> undersigned agrees that this agreement is made in the state that waste is received,and the state that waste is received is a proper venue for any
<br /> action to collect money owed to WMI by Buyer.

<br /> 3. FORCE MAJEURE:The contract between WMI and Buyers a e expressly subject to force majeure and WMI shall not be responsible for any
<br /> delay in delivery or shipment,or failure to ship or deliver or failure to accept any shipment that may result from strikes,war,fire,Ads of God,
<br /> accidents,shortage of labor or materials,acts of government or administrative unit,or other causes beyond WMI's control.
<br /> 4. BUYER'S INSOLVENCY: If WMI deems itself to be insecure as to payment from Buyer,or if Buyer becomes insolvent,WMI may refuse to ship
<br /> or deliver,may refuse to accept any shipment or delivery,and may stop any delivery of all waste or other items in transit. All amounts due WMI
<br /> shall,at WMI's option,become immediately due and payable if Buyer becomes insolvent,is the subject of an order of relief in bankruptcy,makes
<br /> an assignment for the benefit of credit rs,suffers a judgement or tax lien,or defaults in the payment when due of any invoice from WMI.
<br /> 5. AUTHORIZATION TO OBTAIN CIREDIT INFORMATION: Buyer expressly authorized WMI to seek an obtain credit information from all
<br /> sources,including but not limited to,all credit bureaus,credit reporting agencies and the references herein provided.
<br /> 6. WARRANTIES AND DISCLAIMERS:WMI DOES NOT MAKE,AND HEREBY DISCLAIMS,ANY WARRANTY WHETHER
<br /> EXPRESSED, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A
<br /> PARTICULAR PURPOSE. Buyer grees that WMI shall not under any circumstances be liable for consequential or incidental damages
<br /> suffered by Buyer on account of any s rvi_es rendered by WMI.

<br /> To induce Waste Management, Inc.(WMI)ti extend,or to continue to extend,credit to Buyer named above,the undersigned hereby guarantee(s),
<br /> individually and jointly and severally,if more(than one,the payment and not merely the collection of all indebtedness of the Buyer to WMI,whether
<br /> existing on the date of Guaranty or incurredhereafter,including without limitation,late payment charges,returned check fees and all expenses incurred
<br /> in collecting any such amounts,including reasonable attorney's fees. As a further inducement,the undersigned guarantor(s),individually and jointly and
<br /> severally,if more than one,hereby agree(s)to pay all costs and expenses,including reasonable attorney's fees,incurred by WMI in pursuing the
<br /> guarantor(s)for payment of any and all amonts owed to WMI by the undersigned guarantor(s)pursuant to this guaranty or otherwise.
<br /> The undersigned agree(s)that WMI may col ct such indebtedness or any part thereof,from the undersigned(or anyone of them)without first
<br /> exercising its right against the buyer or any (lateral. The undersigned hereby waive(s)notice of acceptance of this guaranty;waive(s)presentment,
<br /> demand, notice of dishonor,protest and noti of protest;agree(s)that the indebtedness guaranteed hereby may be renewed or extended and that the
<br /> collateral or other security may be released thout notice to them and without thereby releasing them from any obligations under this guaranty;agree(s)
