<br /> 1. ACCEPTABLE WASTE SERVI ES. The services to be provided by Company hereunder shall include disposal or other
<br /> management of Customer's Acceptable aste, as defined below, at Company's disposal facility at the address set forth above (the"Facility")
<br /> and may include loading and/or transport tion of such Acceptable Waste, all as set forth in Company's Quote/Bid Letter(s) to Customer('Bid
<br /> Letter"). All Acceptable Waste that is gerberated, handled and/or collected by Customer shall be disposed of or managed exclusively at the
<br /> Facility during the term of this Agreement. Only waste as described in the Bid Letter and in the Waste Profile incorporated herein, and which
<br /> waste is approved in writing by the Company and permitted for disposal or other management at the Facility in accordance with all laws,
<br /> regulations and permits (hereinafter referred to as "Acceptable Waste" ) shall be accepted by Company for management at the Facility.
<br /> Customer may deliver such additional Acceptable Waste as may be described in a new or revised Bid Letter and Waste Profile and approved
<br /> for management by Company in writing. 'In the event this Agreement includes transportation by Company, Customer shall, at the time of
<br /> tender, provide to Company those completed documents, shipping papers or manifests as are required for the lawful transfer of the
<br /> Acceptable Waste under all applicable fed ral, state or local laws or regulations. Tender of delivery shall be considered nonconforming if not
<br /> in accordance with this Paragraph.
<br /> 2. INCORPORATION BY REFEREWE. Customer and Company shall comply with and be bound by the terms of the following, which
<br /> are incorporated by reference into this Agreement as if fully set forth herein:
<br /> 1) State and Federal Municipal S lid Waste Landfill statutes, ordinances, rules and regulations.
<br /> 2) Applicable State and Federal ardous, Dangerous,Special Waste statutes,ordinances, rules and regulations.
<br /> 3) Company's Waste Profile She ("Waste Profile"),as completed in full by Customer and approved by Company.
<br /> 4) Company's Quote or Bid Letter s)to Customer containing scope and conditions of,and rates for, services("Bid Letter").
<br /> 5) State or local permits, orders o approvals relating to Customer's waste and the Facility.
<br /> 3. CUSTOMER WARRANTIES. Cus omer hereby represents and warrants that all waste material delivered by Customer to the Facility
<br /> shall be Acceptable Waste and shall not b or contain any Nonconforming Waste. Nonconforming Waste means waste that: (a) is not in
<br /> conformance with the description of the we to in the Bid Letter and in the Waste Profile incorporated herein; (b) is or contains any infectious
<br /> waste, radioactive,volatile,corrosive,flammable, explosive, biomedical, biohazardous material or hazardous, dangerous, or toxic substances,
<br /> as defined pursuant to or listed or regulated under applicable federal, state or local law, except as stated on the Waste Profile; or (c) is
<br /> prohibited from being received, managed ori disposed of at the Facility by federal, state or local law, regulation, rule, code, ordinance, order,
<br /> permit or permit condition. In addition, Customer represents and warrants that: (a) Customer shall, and shall cause any of its subcontractors
<br /> and carriers to, collect, handle and transport all waste in a safe and workmanlike manner in full compliance with all applicable federal, state
<br /> and local laws, ordinances, decisions, orders, rules or regulations; and (b) Customer has advised its drivers of Company's prohibition on
<br /> delivery of Nonconforming Waste, of the definitions and listing of hazardous waste and hazardous substances under applicable federal and
<br /> state law and regulations and of the definition of Acceptable Waste herein.
<br /> THIS IS A LEGALLY BINDING CONTRACTEACH UNDERSIGNED INDIVIDUAL ACKNOWLEDGES THAT HE/SHE HAS READ AND
<br /> JNDERSTANDS THE TERMS AND CONDITIONS OF THIS AGREEMENT SET FORTH ABOVE AND ON THE SECOND PAGE HERETO
