FASO, <br /> TRUSTEE OF THE JOSEPH P. FASO DECLARATION OF TRUST DATED MAY <br /> 2S,2006 ("Owner"). <br /> �N�rC 401 Jv-4, <br /> RECITALS �a60 7� 13�j Z{op-I b <br /> A. Owner is the fee owner of that certain real property as depicted on Exhibit "A" <br /> attached hereto and incorporated herein (the "Property"). <br /> B. Texaco seeks Owner's authorization to access the Property to conduct the <br /> Work, as defined in Paragraph 1 (Rights Granters below; and <br /> C. Owner is willing to grant Texaco access to the Property for the above- <br /> described purposes. <br /> TERMS AND CONDITIONS <br /> NOW,THEREFORE, in consideration of the mutual covenants and promises <br /> herein, the parties hereby agree as follows: <br /> 1. RIGHTS GRANTED <br /> Owner hereby grants to Texaco, its employees, agents, representatives, consultants <br /> and contractors, a license over, under and across the Property for the purpose of performing <br /> environmental work under government agency oversight or direction as described in the Site <br /> Investigation Work Plan attached hereto as Exhibit"B" (the "Work"). Owner agrees to <br /> cooperate with Texaco, including the execution of additional documents, if necessary, in <br /> order to obtain permits or other documents necessary for the performance of the Work. <br /> 2. PERFORMANCE OF THE WORK <br /> Texaco agrees, at its sole cost and expense, to conduct and perform the Work in a <br /> prompt, safe, efficient and workmanlike manner and in compliance with all applicable <br /> federal, state or local laws, regulations or ordinances. <br /> 3. TERM <br /> This agreement shall terminate upon completion of the Work. <br /> 4. BUSINESS DISRUPTION FEE <br /> The Work includes, without limitation, the installation of monitoring wells and the <br /> advancement of soil borings on the Property("Subsurface Work").
