CITY of Tracy - PW 209-e91-4472 10/12/01 �JP P.009 <br /> City of Tracy and Georgia Pacific Corporation <br /> Indemnity Agreement <br /> Page 3 <br /> 2. C. P's INDEMNIFICATION OF CITY. <br /> G-P shall indemnify and hold harmless the CITY and its officers, agents and employees against all <br /> claims for damages to persons or property arising out of the conduct of G-P or its employers, <br /> agents, subcontractors, or others in connection with the execution of the work covered by this <br /> Agreement,except only for those claims arising from the sole negligence or sole willful conduct of <br /> the CITY, its officers, agents,or employees. G-P's indemnification shall include any and all costs, <br /> expenses, attorneys' fees and liability incurred by the CITY, its officers, agents, or employees in <br /> defending against such claims, whether the same proceed to judgment or not. Further, G-P at its <br /> own expense shall, upon written request by the CITY, defend any such suit or action brought <br /> against the CITY, its officers,agents,or employees. <br /> G-P's indemnification of CITY shall not be limited by any prior or subsequent declaration by G-P. <br /> 3. WORKER'S COMPENSATION <br /> Pursuant to Labor Code Section 1861, G-P hereby certifies that G-P is aware of the provisions of <br /> Section 3700 of the Labor Code which require every employer to be insured against liability for <br /> Worker's Compensation or to undertake self-insurance in accordance with the provisions of that <br /> Code, and G-P ensure that it's consultants and contactors working under this agreement will <br /> comply with such provisions. <br /> 4. LIABILITY INSURANCE <br /> 4.1 G-P shall ensure that it's consultants working under this agreement will, throughout the <br /> duration of this Agreement, maintain comprehensive general liability and property damage <br /> insurance, or commercial general liability insurance, covering all operations of the consultant <br /> and contractors, its agents and employees, performed in connection with this Agreement <br /> including but not limited to premises and automobile. <br /> 4.2 G-P's consultants and contractors shall maintain the following minimum limits: <br /> General Liability <br /> Combined Single Limit Per Occurrence 51,000,000 <br /> General Aggregate $1,500,000 <br /> Automobile Liability <br /> Combined Single Limit Per Occurrence $1,000,000 <br />
