The captions, section numbers, and index appearing in this Lease are inserted only as a matter of <br />convenience and in no way define, limit, construe or describe the scope or intent of such sections <br />or articles nor in any way affect this Lease. <br />ARTICLE XXXII <br />This Lease shall be governed by, and construed in accordance with the laws of the State of <br />California. If any provision of this Lease or the application thereof to any person or <br />circumstances shall, to any extent, be invalid or unenforceable, the remainder of this Lease shall <br />not be affected thereby, and each provision of the Lease shall be valid and enforceable to the <br />fullest extent permitted by the law. <br />ENTIRE AGREEMENT <br />This Lease and the Exhibits attached hereto, all of which form a part hereof, set forth all the <br />covenants, promises, agreements, conditions and understandings between Landlord and Tenant <br />concerning the Demised Premises, and there are no covenants, promises, agreements, conditions <br />or understandings heretofore made, either oral or written, between them other than as herein set <br />forth. No modification, amendment, change or addition to this Lease shall be binding upon <br />Landlord or Tenant unless reduced to writing and signed by each party. <br />11411 <br />• ...i\� <br />The obligations of Landlord under this Lease are not personal obligations of the individual <br />members, partners, directors, officers, shareholders, agents or employees of Landlord; Tenant <br />shall look solely to the Demised Premises for satisfaction of any liability of Landlord and shall <br />not look to other assets of Landlord nor seek recourse against the assets of the individual <br />members, partners, directors, officers, shareholders, agents or employees of Landlord. Whenever <br />Landlord transfers its interest, Landlord shall be automatically released from further <br />performance under this Lease and from all further liabilities and expenses hereunder, provided <br />the transferee of Landlord's interest assumes all liabilities and obligations of Landlord hereunder <br />from the date of such transfer. <br />Fj71YC•1M':iii1 <br />ATTORNEYS' FEES <br />If any legal action should be commenced in any court regarding any dispute arising between the <br />parties hereto, or their successors and assigns, concerning any provision of this Lease or the <br />rights and duties of any person in relation thereto, then the prevailing party therein shall be <br />entitled to collect its reasonable expenses, attorneys' fees and court costs, including the same on <br />32 <br />
