f <br /> REVISED LICENSE <br /> AGREEMENT <br /> This REVISED LICENSE AGREEMENT (Revised Agreement) is made <br /> effective as of October 23, 2018, between 342 SYCANDA LLC ("Licensors") and <br /> GLENN SPRINGS ]IOLDINGS,'INC. ("Licensee"). This Revised Agreement <br /> replaces the ,lune 24, 2014 agreement (Previous Agreement) between the <br /> Licensors and the Licensee. <br /> RECITALS <br /> A. Licensors are the sole owners of real property identified as Assessor's <br /> Parcel No. (APN) 198-100-10 (previously APN 195-160-52-8), generally <br /> located north of Louise Avenue and east of McKinley Avenue in Lathrop, San <br /> Joaquin County, California ("Property"). <br /> B. Licensee desires to obtain permission to enter the Property for the purpose <br /> of drilling one monitoring well cluster and sampling the new and existing monitoring <br /> wells as part of a study of groundwater being conducted by it, and Licensors desire to <br /> give such permission. <br /> AGREEMENT <br /> 1. In consideration of the payment by Licensee to Licensors of One <br /> Thousand Dollars ($1000-00) per year (each year shall be from May 2111' of the <br /> current year to May I" of the following year) until the wells are abandoned. <br /> Licensors hereby give permission to Licensee and its agents and employees to enter <br /> the Property to drill one additional monitoring well cluster and periodically to <br /> service and monitor a I 1 wells as required by the study for as long as the study is <br /> required by the Regional Water Quality Control Board and the United States <br /> Environmental Protection Agency. During the first year of the Revised Agreement, <br /> the Licensee will pay the Licensors $400 within 60 days of the effective date of the <br /> Revised Agreement, having already paid the Licensors the $600 required by the <br /> Previous Agreement. <br /> 2. Licensee agrees to perform all work related to drilling and maintaining the <br /> wells with due care and with minimum interference with the Property. <br /> 3. Licensee hereby indemnities and agrees to hold harmless Licensors <br /> from and against all loss and damages arising from Licensee's occupation of the <br /> Property in connection with this license, except to the extent any loss or damages <br /> are the result of Licensors' negligence or intentional misconduct. <br /> 4. At least two (2) business days prior to entry, the Licensee shall provide <br /> Licensors with notice of intent to access the Property and such notipe shall include a <br />
