ASBURY FNVIRONMENTA*-RVICES Service Ot greenlent 4 In this Asbury Environmental Services Order Agreement ("Agreement") the words "we", "us" and "our" refer to Asbury Environmental Services, anti any business to which this agreement and/or any indebtedness incurred under this Agreement may be assigned. The Z2jr#f'you" and "your" refer to the business identified in the application for which this Asbury Environment s ("Account") is opened, each person who signs the application for this account on behalf of such business, and each othe!µperson authorized by any of the foregoing persons to use this Account. Billing: You agree to accept our descriptive billing system accounting for all purchases on the Account and understand that purchase order numbers will be accepted when available and printed on your billing statement for information only. It is your responsibility to provide a purchase order number if your company requires a purchase order number for purchases. The presence of or lack of a purchase order number in no way affects your responsibility to pay amounts due on this Account. Our invoice number will be the r6terence number used for billing purposes to identify purchases and transactions of goods and/or services. Promise to Pay: In return for extending credit to you on this Account, and any sub -Accounts) approved by us, from time to time, you jointly and severally agree to pay for all purchases any of you and sub -Account users charge to this Account, and all other charges set forth below, according to the terms of this Agreement. In this connection, you understand that we will be unable to determine whether any given purchase was in fact authorized by and for the benefit of the business in whose name the Account or any approved sub -Account is established and you agree that your promise contained in the Agreement will apply to all purchases made by any of you, including without limitation any of your offices or dividends, whether or not the purchase was in fact authorized by and for the benefit of the business. Until we give you written notice of a change in terms, all purchases of goods and/or services charged to this Account made during a monthly billing period will be shown on each individual invoice for that period and payment for all purchases is due in full Thirty (30) days from the date of purchase. N Default/Late Payment Charge: if we do not receive your payment of the full amount due (the "Balance Due") by the due date, you will be in default. In the event of default, you will be liable for all collection expenses incurred by us in enforcing our rights, including the reasonable fee of -,m attorney. We may assess Interest and/or a Late Charge on the unpaid balance in the account, at a rate permitted by applicable law. The Interest and/or Late Charge will be at a rate of 1-1/2% per month (18% per annum) and will be imposed during each 30 day billing cycle during which your account is in default. Repayment of all amounts owing is the only way to cure the Account. Credit Limit/Cancellations: We may advise you of the credit limit on this Account, which we may raise, lower or cancel at any time, and you promise not to allow the outstanding balance to exceed this credit limit. We may terminate this Agreement at any tiffie. You may also terminate this Agreement at any time, upon advance written notice to us, but, if you do, you agree to pay the outstanding balance in the Account according to the terms of this Agreement. Governing Law: This Agreement will be governed by the laws of the State of California.
