responsibility of any I--hid whatsoever with respect to the Excess <br /> Water and/or anything which may happen to the Excess Water while it <br /> is on Licensor' s Parcel, or to any other water or other substance <br /> which may then or thereafter be commingled with or come into <br /> contact with the Excess Water; and Licensee understands that none <br /> of the Released Parties plan to, nor shall they be responsible for, <br /> taking any precautions with respect to the Excess Water, whether to <br /> protect it from contamination or otherwise. <br /> (j ) Licensee shall indemnify and defend Licensor and the <br /> other Released Parties against, and shall hold Licensor and the <br /> other Released Parties harmless from, any and all claims, demands, <br /> liabilities, losses, lawsuits, judgments, damages, injuries <br /> (including loss of life) , costs, and expenses which Licensor and/or <br /> any of the other Released Parties may suffer or incur, or to which <br /> they may be subjected, arising in any way out of the use or misuse <br /> of the License, the License Area or Licensor' s Parcel, or the <br /> presence of the Excess Water on Licensor' s Parcel, including but <br /> not limited to, any damage or injury to Licensor' s poultry or <br /> livestock resulting from any contaminants contained in the Excess <br /> Water, or the discharge by Licensee or its agents of any hazardous <br /> materials onto the License Area or the Licensor' s Parcel . This <br /> indemnification shall survive the termination of this Agreement . <br /> (k) Licensee shall, prior to making any use of the License, <br /> provide Licensor with a certificate of insurance demonstrating to <br /> Licensor' s reasonable satisfaction that Licensee has liability <br /> insurance, with a limit of liability not less than $1, 000, 000, and <br /> with an insurance company licensed to do business in the State of <br /> California which is reasonably acceptable to Licensor, which will <br /> cover Licensee' s use of the License, and the obligations of <br /> Licensee under this Agreement, and which names Licensor as an <br /> additional insured; and Licensee shall continue to carry such <br /> liability insurance for so long as any of Licensee' s obligations <br /> under this Agreement remain. <br /> (1) Licensee represents and warrants that Licensee' s use of <br /> the License Area shall not. result in the discharge onto Licensor' s <br /> Parcel of any hazardous materials . As used in this Agreement, the <br /> term "hazardous materials" shall mean any hazardous or toxic <br /> substance, material or waste which is or becomes regulated by any <br /> governmental authority, the State of California, or the United <br /> Stated Federal Government . Licensee represents and warrants that <br /> the silts, clays and othei- natural geologic materials which may be <br /> in the Excess Water are not hazardous materials . <br /> 6 . Extent of License . The License is being granted solely <br /> for the stated purpose set out above, in order to alleviate the <br /> overflow situation on Licensee' s Parcel in the manner designated <br /> above . Neither Licensee nor anyone else shall have any right under <br /> this Agreement to make use of the License Area in any other way; to <br /> serve any different type of use of Licensee' s Parcel; to serve a <br /> more intensified use of Licensee' s Parcel, even if the .present type <br /> 4 <br />
