Phillips 66 Company("Phillips 66'), in cooperation with <br /> the Central Valley Regional Water Quality Control Board ("Central Valley Water Board"), is performing <br /> various environmental investigation and/or remediation activities related to the former Unocal <br /> Marketing Site #4409, located at 1502 North EI Dorado St.. Stockton, CA (the "Site"). Since our last <br /> discussion, the Central Valley Water Board has revised the scope of work required on your property. <br /> The revised, proposed work includes the following activities to be conducted at the above-described <br /> Property: installation and periodic monitoring, sampling, maintenance, and eventual abandonment <br /> of two monitoring wells (the "Work") at the locations labeled MW-25 and MW-26 as depicted on the <br /> enclosed Site Plan. <br /> In order to accomplish the Work. permission to access the Property is required. Previously, we sent <br /> you a communication requesting that you enter into an agreement allowing Phillips 66 access to <br /> perform the Work. We have not received a response from you. As such, we are following-up to <br /> respectfully request that you voluntarily grant permission to allow Phillips 66 and/or its <br /> representatives, consultants and/or contractors access to enter the Property for the sole purpose of <br /> performing the Work and any additional work that may be required by the Central Valley Water <br /> Board in the future. <br /> Please be assured that Phillips 66 will cause the Work to be performed in such a manner so as to <br /> minimize any interruption or interference with your use of the Property. Phillips 66 or its <br /> consultant(s) or contractor(s) will inform you at least two (2) days in advance of all actions to be <br /> taken on the Property. Further, provided that you continue to allow us access to the Property, <br /> Phillips 66 will, at no cost to you, restore any part of the Property physically disturbed by the Work to <br /> a condition substantially similar, as is reasonably possible. to that existing immediately prior to the <br /> commencement of the Work. <br /> If you grant the access requested in this letter, Phillips 66 will indemnify, defend and hold harmless <br /> you, as the Licensor. from and against any and all claims, demands, actions, suits, judgments, <br /> losses, damages, liabilities, costs, or expenses to the extent caused by the negligent acts or <br /> omissions of Phillips 66 or its representatives. consultants and/or contractors in conducting the <br /> Work while on the Property pursuant to the rights granted herein.
