Section 33.01 For purposes of thi$ Lease,, (a) the words "include", "includes" and <br /> "including" shall be deemed to be followed by the words "without limitation" (unless already <br /> expressly followed by such phrase), and (b) the words "herein". "hereof', "hereby", "hereto"and <br /> "hereunder" refer to this Lease as a whole. Unless the context otherwise requires, references <br /> herein: (x) to Articles, Sections, Exhibits, and Schedules mean the Articles and Sections of, and <br /> the Exhibits and Schedules attached to, this Lease; (y) to a lease, instrument or other document <br /> means such lease, instrument or other document as amended, supplemented and modified from <br /> time to time to the extent permitted by the provisions thereof and by this Lease; and (z) to a <br /> statute means such statute as amended from time to time and includes any successor legislation <br /> thereto and any regulations promulgated thereunder. The Schedules and Exhibits referred to <br /> herein shall be construed with and as an integral part of this Lease to the same extent as if they <br /> were set forth verbatim herein. Titles to Articles and headings of Sections are inserted for <br /> convenience of reference only and shall not be deemed a part of or to affect the meaning or <br /> interpretation of this Lease. Any defined term used in the plural shall refer to all members of the <br /> relevant class, and any defined term used in the singular shall refer to any one or more of the <br /> members of the relevant class. All references in this Lease to sums denominated in dollars or <br /> with the symbol I" refer to the lawful currency of the United States of America, unless such <br /> reference specifically identifies another currency. Where a provision of this Lease requires that <br /> that consent of a party shall not be unreasonably withheld, or that such consent is in such party's <br /> reasonable discretion, such provision shall be deemed to require that such consent not be <br /> unreasonably withheld, conditioned,or delayed. <br /> Section 33.02 This Lease may be executed in counterparts and shall be binding on all the <br /> parties hereto as if one document had been signed. The delivery of an executed copy of this <br /> Lease by facsimile transmission shall have the same force and effect as the delivery of the <br /> original, signed copy of this Lease. Time is of the essence of every provision of this Lease. Any <br /> provision of this Lease explicitly providing for the performance by Tenants of obligations upon <br /> or after the expiration or termination of this Lease shall survive any such expiration or <br /> termination. This Lease and the Exhibits attached hereto, all of which form a part hereof, set <br /> forth all the covenants, promises, agreements, conditions and understandings between Landlord <br /> and Tenants concerning the Demised Property, and there are no covenants, promises, <br /> agreements, conditions or understandings heretofore made, either oral or written, between them <br /> other than as herein set forth. No modification, amendment, change or addition to this Lease <br /> shall be binding upon Landlord or Tenants unless reduced to writing and signed by each party. <br /> The captions, section numbers, and index appearing in this Lease are inserted only as a matter of <br /> convenience and in no way define, limit, construe or describe the scope or intent of such sections <br /> or articles nor in any way affect this Lease. Nothing contained in this Lease shall be construed to <br /> create the relationship of principal and agent, partnership,joint venture or any other relationship <br /> between the parties hereto other than the relationship of landlord and Tenants. Except as <br /> explicitly set forth in this Lease,there shall be no third party beneficiaries of this Lease or any of <br /> the agreements contained herein. The failure of Landlord or Tenants to insist upon strict <br /> performance of any of the terms and conditions hereof shall not be deemed a waiver of any rights <br /> ZA <br />
