Reid Settlemier, <br /> Trustee of the B. Reid and Amy Settlemier Family Trust, under Declaration of Trust dated <br /> November 10, 2011 ("Reid"), all of Regional's right,title and interest in and to a 50%membership <br /> interest in and to California Yards LLC, a Delaware limited liability company(the"Interest"). <br /> TO HAVE AND TO HOLD the said Interest unto Reid and his successors and assigns, to <br /> and for his own use, benefit and behalf forever.
