March Lane <br /> L/C 004-1777 <br /> THIRD AMENDMENT TO LICENSE AGREEMENT <br /> FOR ENVIRONMENTAL ASSESSMENT <br /> This Third Amendment to License Agreement for Environmental Assessment ("Third <br /> Amendment") is entered into and becomes effective on January 25, 2022 (the "Effective Date"), <br /> by and between McDONALD'S CORPORATION, a Delaware corporation ("McDonald's"), <br /> CRAIG SCHRADER ("Operator") and PHILLIPS 66 COMPANY, a Delaware corporation <br /> ("Licensee"). McDonald's, Operator, and Licensee, shall sometimes be referred to herein <br /> individually as a"Party" and collectively as the "Parties." <br /> RECITALS <br /> WHEREAS, McDonald's owns the real property located at 1049 East March Lane, Stockton, <br /> California, legally described on Exhibit A, attached hereto and incorporated herein, and further <br /> identified by the San Joaquin County Assessor as Parcel Number 104-080-04, which is in the <br /> vicinity of the former Conoco related Marketing Site #5445, located at 1206 East March Lane, <br /> Stockton, California(the"Property"); and <br /> WHEREAS, Operator leases the Property from McDonald's and operates a McDonald's <br /> restaurant thereon; and <br /> WHEREAS, the Parties previously entered into a License Agreement for Environmental <br /> Assessment("License")effective as of February 25,2016,granting Licensee access to the Property <br /> to perform its environmental investigation and/or remediation activities,including the Authorized <br /> Activities as defined therein; and <br /> WHEREAS, the Parties subsequently amended the License through an Amendment to License <br /> Agreement for Environmental Assessment("Amendment") to extend the term of the License and <br /> continue to conduct the Authorized Activities as defined under the License; and <br /> WHEREAS, the Parties further amended the License through a Second Amendment to License <br /> Agreement for Environmental Assessment ("Second Amendment") to extend the term of the <br /> License and continue to conduct the Authorized Activities as defined under the License; and <br /> WHEREAS, Licensee, in cooperation with the Central Valley Regional Water Quality Control <br /> Board ("Central Valley Water Board"), now desires to enter the Property to continue to conduct <br /> the Authorized Activities; and <br /> WHEREAS, the License by its terms expired on January 25,2022; and <br /> WHEREAS, the Parties mutually desire to reinstate, extend the term and amend the License as <br /> set forth below. <br /> Page 1 of 4 <br />
