Rug 17 2009 12: 36PM H MAINTENANCE 209326070 P. 3 <br /> Sutter Health <br /> Communky Based,Not For Profit <br /> April 20,2009 <br /> Re: Sutter Health Central Valley Region Merger <br /> To Whom It May Concern: <br /> Sutter Health announced in November 2008 the creation of a new regional approach to governance <br /> designed to provide more seamless and coordinated care to patients. Sutter Health's 23 Northern <br /> California hospitals and eight physician organizations are being configured in a five-region model <br /> designed to reflect existing health care access patterns of Northern California consumers. <br /> The Central Valley Region is one of the five regions created under this new design. Currently <br /> comprised of Sutter Gould Medical Foundation and three hospital corporations—Memorial Hospitals <br /> Association(MHA), Sutter Tracy Community Hospital(STCH), and Memorial Hospital Los Banos <br /> (MHLB)---efforts are underway to merge the hospital corporations into a single corporation. <br /> Specifically,the corporations of STCH and MHLB(disappearing corporations)will merge into MHA <br /> (surviving corporation). <br /> The expected date of this occurrence is September 1,2009. However,this date is dependent upon <br /> external factors and organizational cooperation which are not under the control of Sutter Health and <br /> have the potential to cause delay; including notice filings and processing of related and required <br /> paperwork by the State Department of Public Health,the office of the Secretary of State, the State <br /> Attorney General's office, the Centers for Medicare and Medicaid Services,and the Internal Revenue <br /> Services,to name a few. <br /> As part of this process, we are attempting to proactively identify other agencies and organizations that <br /> will require a type of notification of this merger proceeding.Please respond to the sender with any <br /> requirements that you or your organization may have as it relates to the change in ownership of one of <br /> the hospital facilities listed above; particularly as it relates to the change in ownership from one of the <br /> disappearing corporations (STCH and MHLB)to MHA. <br /> Should you have any questions regarding this matter,please contact the sender of this letter,or you <br /> may feel free to contact me via email at fyltoLij(Jsutterhea1th.or or by phone;(209)572-7281. <br /> Thank you, <br /> Jonathan Felton <br /> Administrative Fellow; Central Valley Region Merger Project Manager <br />
