• <br />This "S" SERIES SHARPSMART COLLECTION AND DISPOSAL SERVICE AGREEMENT <br />("Agreement") is entered into this 33 day of 3 2003, between DANIELS SHARPSMART, INC., <br />a Delaware corporation ("Daniels") and Sutter Tra Community Hospital (the "Hospital"), located at <br />1420 N. Tracy Blvd., Tracy, CA 95376. <br />Daniels and the Hospital hereby agree that Daniels shall provide pharmaceutical medical waste <br />management services for the Hospital and the Hospital shall assist Daniels in the performance of the <br />services and pay for the services as follows: <br />1. SYSTEM. Daniels will install and service at the Hospital an "S" series SharpSmart <br />reusable pharmaceutical container system for disposal of pharmaceutical medical waste ("System"). The <br />System will primarily consist of brackets installed in agreed locations at the Hospital and reusable Daniels <br />pharmaceutical collection containers ("Containers") to be fatted in the brackets. The System may also <br />comprise additional accessories as referenced in Section 4 below. <br />2. SERVICE. Daniels shall periodically collect and empty the Containers, dispose of the <br />pharmaceutical medical waste, clean the pharmaceutical Containers to eliminate pathogens and odors, and <br />exchange or replace the filled pharmaceutical Containers with clean, empty Containers as more <br />particularly set forth below. The installation, equipment and accessories, and servicing shall collectively <br />be referred to as the "Service." <br />3. COLLECTION AND REMOVAL PROCEDURE. Hospital personnel shall remove <br />filled Containers from the bracketed locations throughout its facility and deposit the filled Containers at a <br />central location to be agreed on by Daniels and the Hospital in writing concurrently with this Agreement. <br />Daniels shall pick up filled Containers from the central location and deposit clean replacement Containers <br />at the central location. Hospital personnel shall pick up the clean replacement Containers from the central <br />location and insert them at the bracketed locations throughout the Hospital. The schedule for deposit and <br />removal of Containers at and from the central location shall be agreed on from time to time by the parties <br />in writing and attached hereto as "Schedule 1. " <br />4. ADDITIONAL ACCESSORIES. In addition to the brackets referenced in section 3 <br />above (the use of which are included in the initial System) other types of mobile stands and reverse <br />brackets are available to be included in the System. A list of the available additional accessories and the <br />increase to the Service charge for the addition of each accessory is attached hereto as Exhibit "A. " <br />5. OWNERSHIP OF SYSTEM UIPENT AND ACCESSORIES. During and after <br />the Term, all Containers, brackets and other equipment or accessories which comprise the System, shall <br />be and remain the property of Daniels. Upon termination of this Agreement, Daniels shall remove all of <br />the System equipment and accessories from the Hospital premises. <br />6. COMPLIANCE WITH LAWS AND REGULATIONS. Performance of the Service <br />shall be in accordance with federal, state and local laws, rules, regulations and ordinances applicable to <br />the Service. Daniels shall also observe all reasonable rules and regulations of the Hospital communicated <br />"S" SERIES SHARPSMART COLLECTION <br />AND DISPOSAL SERVICE AGREEMENT <br />4837-1/Sutter Tracy Community Hospital <br />
