This Agreement shall not be construed to grant any real <br /> property or other lights to SJRRC or Permittees in the Property. <br /> 10. Successors and Assigns. This Agreement shall be binding on and more to the <br /> benefit of the respective Parties and their heirs, successors and assigns. <br /> 11. Governing Law. This Agreement is made and entered into in the State of <br /> California and in all respects is to be interpreted, enforced and governed by and under the laws of <br /> California, without reference to its conflicts of laws rules. Any action to enforce or interpret this <br /> Agreement shall be filed in the Superior Court of San Joaquin County, California. <br /> 12. Counterparts. This Agreement may be executed in one or more counterparts, <br /> each of which shall, for all purposes, be deemed an original and all such counterparts, taken <br /> together, shall constitute one and the same instrument. The Parties agree that the digital <br /> signatures of the Parties included in this Agreement are intended to authenticate this writing and <br /> to have the same force and effect as manual signatures. Any digital signature shall have the <br /> same legal validity and enforceability as a manually executed signature or use of a paper-based <br /> record keeping system to the fullest extent permitted by applicable law. <br /> 13. Entire Agreement; Amendment. This Agreement constitutes the entire <br /> understanding between the Parties with respect to the subject matter hereof, and supersedes any <br /> prior written or oral agreement pertaining thereto. This Agreement shall not be modified except <br /> by written agreement of the Parties. <br /> 14. No Third Party Beneficiaries. There are no third party beneficiaries to this <br /> Agreement. <br /> 15. Authority to Execute.
